Customer Default definition

Customer Default has the meaning set out in clause 8.3.
Customer Default shall have the meaning set forth in Section 11.1.

Examples of Customer Default in a sentence

  • If Xactly terminates this SSA due to a Customer Default, Customer shall remain liable for all charges in accordance with the Term of Subscription outlined in section 10.2 herein.

  • In the event of a Customer Default, SIMETRY shall have the right to (i) suspend Rental, Service(s) or Wireless Service(s) to Customer; (ii) cease accepting or processing orders for Rentals, Services or Wireless Service(s); and/or (iii) terminate this Agreement or any Rental, Service or Wireless Service.

  • Customer agrees to pay Xactly’s reasonable expenses (including attorney and collection agency fees) incurred in enforcing Xactly’s rights in the event of a Customer Default.

  • If this Agreement is terminated due to a Customer Default, Customer shall remain liable for charges outlined in Section 6.B herein.

  • In the event of a Customer Default, Xactly shall have the right to: (i) Suspend Service to Customer in accordance with section 4.4 herein; (ii) cease processing or accepting orders for Service; and/or (iii) terminate this SSA or any Service.


More Definitions of Customer Default

Customer Default shall have the meaning set forth in Section 11.1. “Effective Date” shall have the meaning set forth in the preamble. “Energy” shall have the meaning set forth in the preamble. “Environmental Attributes” includes, without limitation, tradable renewable certificates, green-e tags, allowances, reductions or other transferable indicia denoting carbon offset credits or indicating generation of a particular quantity of energy from a renewable energy source by a renewable energy facility attributed to the Energy during the Term created under a renewable energy, emission reduction, or other reporting program adopted by a Governmental Authority, or for which a registry and a market exists (which, as of the Effective Date are certificates issued by Green-e in accordance with the Green-e Renewable Electric Certification Program, National Standard Version 1.3 administered by the Center of Resource Solutions) or for which a market may exist at a future time.

Customer Default has the meaning set out in clause 4.2. Deliverables: the deliverables set out in the Order produced by Trades Business Support Solutions Ltd for the Customer. Intellectual Property Rights: patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get- up, goodwill and the right to xxx for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights in any jurisdiction. Order: the Customer's order for Services as set out in the Customer's acceptance of Trades Business Support Solutions Ltd's quotation on the website. Price: the price for the Services, excluding VAT.

Customer Default has the meaning set out in clause 10.2. Customer Equipment: equipment that is not part of BT’s network and which the Customer uses or plans to use with the Services. Equipment: the equipment (including any software) specified on the Order Form to be leased by the Supplier or a third party lease provider and delivered to the Premises in order that the Services can be supplied. Minimum Period: the first 60 months of the Contract Term or such other period specified on the Order Form. Openreach: a subsidiary of BT. Order Form: the form containing a written description or specification of the Services and Equipment provided by the Supplier to the Customer. Premises: the address(es) at which the Supplier agrees to provide the Services. Services: the facility to make or receive a Call (or both) and other related telecommunications services that the Supplier agrees to provide to the Customer under this Contract and which are set out in the Order Form. Service Failure: the continuous total loss of the facility to make or receive a Call, or of any other Services provided to the Customer under this Contract.
Customer Default means an Event of Default (as defined in the Account Agreement) or a failure by Customer to perform any obligation under this Agreement.
