In order to ensure that no unauthorised person gains access to any Confidential Information or any data obtained in performance of this Framework Agreement or the Customer Contracts, the Supplier undertakes to maintain adequate security arrangements that meet the requirements of professional standards and best practice.
The Supplier will immediately notify the Authority of any breach of security in relation to Authority Confidential Information obtained in the performance of this Framework Agreement and the Customer Contracts and will keep a record of such breaches.
The Supplier shall (and shall procure that all Sub-Contractors shall) effect and maintain policies of insurance which provide a type and level of cover which are sufficient (in the reasonable opinion of the Authority) taking into account the risks borne by, and potential liabilities of, the relevant party under or in relation to this Framework Agreement and the Customer Contracts.
The Supplier shall invoice each Contracted Customer each Month under the terms of this Framework Agreement and Customer Contracts.
The Authority may benchmark Charges and specific Customer Contracts regularly during the Term in order to compare the Charges with charges offered by third parties.
