Custom Work definition

Custom Work means graphical and user- interface changes to the Software or Hosted Services, created in order to adapt the look and feel of the Software or Hosted Services to the specific requirements of Licensee, or any other custom development, implementation and/or integration Professional Services work performed by Kaltura at Licensee’s request.
Custom Work will include custom systems integration and manufacture of Products and components that are not listed on the agreed upon "VA/Synnex product and pricing matrix". Such Custom Work provided by Synnex shall include production labor, capacity, materials procurement, management and logistics and shipping services related to certain custom systems integration services. The parties shall agree upon the price of such Custom Work which shall include as factors to such price: *. Such price shall be prior agreed upon by the parties. The parties agree, however, that the hourly labor and overhead shop rate charged by Synnex for such Custom Work shall be * per hour.
Custom Work has the meaning set out in Section (t)(i)(A) of Schedule D;

More Definitions of Custom Work

Custom Work means the resulting software (including all functional and technical designs, programs, modules, code, algorithms, flowcharts, data diagrams, documentation, and the like) created by Contractor for Client pursuant to a Statement of Work. Custom Work does not include any pre-existing software owned by Contractor or by any third party and incorporated or "embedded" into the Custom Work, and shall be subject to the terms of Section 10.3 and 10.4 below. Any and all Custom Work made, or produced by Contractor solely or jointly with others relating to Contractor’s performance of the Services shall be the sole and exclusive property of Client. Contractor shall assign to Client the Contractor’s entire right, title, and interest in such Custom Work. Contractor shall have no rights to retain or use any of such Custom Work. All Custom Work of the categories identified in Section 101 of the federal Copyright Act of 1976 (“Copyright Act”) shall be considered “works made for hire” as defined in Section 101. Client shall own the copyright, the right to register and renew the copyright, the right of first publication, the reproduction right, the performance right, and all other rights provided by the Copyright Act in each work made for hire.
Custom Work means any and all custom programming, custom coding, custom software, custom interfaces, consulting and custom statements which SEI shall create at Customers request and expense. The word “custom” as used herein means work which was created for Customer to meet Customer’s business needs. The initial standard FTI interface file extract provided by SEI on a daily basis to Customer, an example of which is detailed in Exhibit A, and the initial Customer Employee Benefit Statement (“EBS”) are deemed to be Custom Work, however, no fees will be charged to Customer for such services. SEI will use its best efforts to provide Customer a sample EBS mock-up for approval prior to the dress rehearsal, as well as, a sample EBS containing Customer’s data after the dress rehearsal. SEI reserves the right to charge Customer a fee in the event that Customer requests any modification to the initially provided standard FTI interface file extract and/or the initial EBSs.
Custom Work means all programming, coding, or software which Customer requires SEI to develop, create, or modify, due to the unique processing and reporting requirements of Customer.
Custom Work means all original works including all copyright works created by Busy Box for the Client to provide Deliverables defined a Statement of Work which do not constitute Enabling Technology.
Custom Work means any custom work to be performed in a Unit at the request of a Purchaser.
Custom Work means any and all custom programming, custom coding, custom software, custom interfaces, custom statements, and consulting (including, without limitation, the intellectual property rights included in or appurtenant to the foregoing) that SEI Trust may create or perform at Customer’s request and expense pursuant to an SEI Trust work authorization or other written agreement between the parties.
Custom Work means any improvement of imported goods, provided directly or indirectly to the holder of the authorization, which is carried out under the conditions and at the expense of a contracting entity located outside the customs territory of the Republic of Bulgaria, usually only paying the costs of workmanship (helmet).
