Current Subsidiaries definition

Current Subsidiaries means the direct and indirect subsidiaries of the Company set forth on Schedule 3.2(a) hereto.

Current Subsidiaries means any Person in which the Company on the Subscription Date, directly or indirectly, (i) owns any of the outstanding capital stock or holds any equity or similar interest of such Person or (ii) controls or operates all or any part of the business, operations or administration of such Person, and each of the foregoing, individually, a “Current Subsidiary.”

Current Subsidiaries means, collectively, Workstream USA, Inc., a Delaware corporation, Paula Allen Holdings, Inc., a Florida corporation, The Omni Partners, Inc., a Florida corporation, 6FigureJobs.com, Inc., a Delaware corporation, and Workstream Merger Sub Inc., a Delaware corporation, and each of the foregoing, individually, a “Current Subsidiary.”

Examples of Current Subsidiaries in a sentence

• Simultaneously with the acquisition or formation of each New Subsidiary, the Company shall cause such New Subsidiary to execute, and deliver to each holder of Notes, all Security Documents (as defined in the Securities Purchase Agreement) and Guaranties (as defined in the Securities Purchase Agreement) that the Current Subsidiaries are required to execute in connection with the transactions contemplated by the Securities Purchase Agreement.

• Simultaneously with the acquisition or formation of each New Subsidiary (as defined below), the Company shall cause such New Subsidiary to execute, and deliver to each holder of Notes, all Security Documents (as defined in the Exchange Agreement) and Guaranties that are substantially similar to the Security Documents and Guaranties that the Current Subsidiaries are required to execute in connection with the transactions contemplated by the Exchange Agreement.

• For purposes of this Section 4, all references to the “Company” shall be deemed to refer to the Company and the Current Subsidiaries unless the context clearly requires otherwise.

• Simultaneously with the acquisition or formation of each New Subsidiary, the Company shall cause such New Subsidiary to execute, and deliver to each holder of Notes, all Security Documents (as defined in the Securities Purchase Agreement) required to be executed by each of the Current Subsidiaries on the Closing Date.

• The Company owns beneficially and of record all of the outstanding equity interests in the Current Subsidiaries, and there are no contracts, commitments, understandings or arrangements by which any of the Current Subsidiaries is bound to issue additional shares of capital stock of such entity or options, securities or rights convertible into shares of capital stock of such entity.

Current Subsidiaries means the Current Canadian Subsidiaries and the Current Mexican Subsidiaries.
