Current Subsidiaries definition

Current Subsidiaries means the direct and indirect subsidiaries of the Company set forth on Schedule 3.2(a) hereto.
Current Subsidiaries means any Person in which the Company on the Subscription Date, directly or indirectly, (i) owns any of the outstanding capital stock or holds any equity or similar interest of such Person or (ii) controls or operates all or any part of the business, operations or administration of such Person, and each of the foregoing, individually, a “Current Subsidiary.”
Current Subsidiaries means, collectively, Workstream USA, Inc., a Delaware corporation, Paula Allen Holdings, Inc., a Florida corporation, The Omni Partners, Inc., a Florida corporation, 6FigureJobs.com, Inc., a Delaware corporation, and Workstream Merger Sub Inc., a Delaware corporation, and each of the foregoing, individually, a “Current Subsidiary.”

Examples of Current Subsidiaries in a sentence

  • Simultaneously with the acquisition or formation of each New Subsidiary, the Company shall cause such New Subsidiary to execute, and deliver to each holder of Notes, all Security Documents (as defined in the Securities Purchase Agreement) and Guaranties (as defined in the Securities Purchase Agreement) that the Current Subsidiaries are required to execute in connection with the transactions contemplated by the Securities Purchase Agreement.

  • Simultaneously with the acquisition or formation of each New Subsidiary (as defined below), the Company shall cause such New Subsidiary to execute, and deliver to each holder of Notes, all Security Documents (as defined in the Exchange Agreement) and Guaranties that are substantially similar to the Security Documents and Guaranties that the Current Subsidiaries are required to execute in connection with the transactions contemplated by the Exchange Agreement.
