The Current Articles of Association are in full force and effect.
The Company’s Memorandum and Articles of Association currently in effect (the “Current Articles of Association”), and its Amended and Restated Memorandum and Articles of Association (the “Amended Articles of Association” and, together with the Current Articles of Association, the “Articles of Association”), which will become effective immediately upon the closing of the Offering, comply with the requirements of Cayman Islands law.

The Board of Directors has approved the amendment and replacement of the Current Articles of Association in their entirety, with the articles of association substantially in the form attached hereto as Exhibit A (the proposed amended articles of association shall hereinafter be referred to as the “Amended Articles of Association”).
