Cumulative Preferred Shares definition

Cumulative Preferred Shares means the Cumulative Preferred Shares, par value of $0.00001 per share, whose preferences, rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions are set forth in the Cumulative Preferred Shares Statement.
Cumulative Preferred Shares has the meaning given in the Preamble.

  • Safe Preferred Stock means the shares of the series of Preferred Stock issued to the Investor in an Equity Financing, having the identical rights, privileges, preferences and restrictions as the shares of Standard Preferred Stock, other than with respect to: (i) the per share liquidation preference and the initial conversion price for purposes of price-based anti-dilution protection, which will equal the Conversion Price; and (ii) the basis for any dividend rights, which will be based on the Conversion Price.
