CS&L Group definition

CS&L Group means CS&L, each Subsidiary of CS&L and each other Person that is controlled directly or indirectly by CS&L, in each case immediately after the Effective Time; provided, however, that no director, officer, employee, agent or other representative of any of the foregoing who is a natural person shall be deemed to be a member of the CS&L Group.

Examples of CS&L Group in a sentence

  • Without the prior written consent of WHI, which consent shall not be unreasonably withheld, conditioned or delayed, CS&L shall not, and shall not permit any member of the CS&L Group to, file any amended Tax Return that includes any member of the WHI Group.

  • CSL Group on and after the Distribution Date shall be deemed continued service with WHI.

  • In addition, to the extent permitted by law, unless and until there has been a Final Determination to the contrary, all Tax Returns of any member of the CS&L Group prepared pursuant to Section 2.1(a) or Section 2.1(d) shall be prepared in a manner that is otherwise consistent with past practices of WHI, CS&L, and their respective Subsidiaries.

  • Executive shall not during his employment with the CS&L Group and thereafter until the expiration of the Non-Interference/Assistance Period employ, or assist any person or entity in employing, any employee of any member of the CS&L Group.

  • Amounts which are vested benefits or which Executive is otherwise entitled to receive under any plan, policy, practice or program of or any contract or agreement with the CS&L Group at or subsequent to the Termination Date shall be payable in accordance with such plan, policy, practice or program or contract or agreement except as explicitly modified by this Agreement.

  • Executive’s employment with the CS&L Group is “at will” and may be terminated by the Board for any reason in its sole and absolute discretion in accordance with any applicable provision of Section 7 and the payment or provision of such benefits as may be required under this Agreement.

  • This Agreement shall be construed, administered, and governed in a manner that effects such intent, and the CS&L Group shall not take any action that would be inconsistent with such intent.

  • Within five calendar days after the Termination Date, Executive shall deliver to CS&L all of the CS&L Group’s and Windstream’s property in his possession, custody or control, including, without limitation, all keys and credit cards, all computers and fax machines, and all files, documents, data and information in any medium relating in any way to the CS&L Group or its employees, suppliers, customers or business.

  • If and to the extent that the CS&L Group is not permitted by applicable law to forego such carryback and requests in writing that WHI obtain a refund with respect to such carryback, then (a) WHI shall use commercially reasonable efforts to obtain a refund with respect to such carryback (including by filing an amended Tax Return) and (b) to the extent that WHI receives a refund of Taxes (including interest received thereon) attributable to such carryback, WHI shall pay such refund to CS&L.


More Definitions of CS&L Group

CS&L Group means, collectively, CS&L and all other entities that are direct or indirect subsidiaries or affiliates of CS&L from time to time, and a “member” of the CS&L Group shall mean CS&L or any of such entities. For the sake of clarity, prior to the Spin-Off Date, the CS&L Group shall include Windstream and its subsidiaries and affiliates, including CS&L, and following the Spin-Off Date, the CS&L Group shall no longer include Windstream or any affiliates of Windstream for any purpose under this Agreement.

Related to CS&L Group

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • SpinCo shall have the meaning set forth in the Preamble.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Tax Group has the meaning set forth in Section 7.06(h)(iii).

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • ITT means the Purchaser’s invitation to tender dated (date ITT issued).

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Minority Group means any of the following racial or ethnic groups:

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Partnership Group Member means any member of the Partnership Group.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • CBS shall have the meaning set forth in the Preamble.
