Credit Card Processors definition

Credit Card Processors has the meaning specified in Section 6.01(m)(i)(A).

Credit Card Processors means, collectively, Scotiabank de Costa Rica, S.A., Banco Mercantil del Norte S.A., Institución de Banca Múltiple, Grupo Financiero Banorte, Banco Santander (México), Institución de Banca Múltiple, Grupo Financiero Santander México, PayPal Pte. Ltd, American Express Travel Related Services Company, Inc., Evo Payments Mexico, S. de R.L. de C.V. (as assignor of Banco Nacional de Mexico, S.A., Integrante del Grupo Financiero Banamex), U.S. Bank National Association, U.S. Bank National Association, acting through its Canadian branch, Elavon Canada Company, Elavon Financial Services Limited (U.K. Branch), Worldpay (UK) Limited, Worldpay Limited, Worldpay AP Limited, and any other entity that provides credit card processing services to the Loan Parties.

Credit Card Processors means any Person which acts as a credit card clearinghouse or processor of credit card payments accepted by Borrowers.

Examples of Credit Card Processors in a sentence

• At any time that an Event of Default exists or has occurred and is continuing, Agent shall, at its option, have the exclusive right to settle, adjust or compromise any claim, offset, counterclaim or dispute with account debtors, Credit Card Issuers or Credit Card Processors or grant any credits, discounts or allowances.

• No Loan Party shall maintain any bank accounts or enter into any agreements with Credit Card Issuers or Credit Card Processors other than the ones expressly contemplated herein or in Section 6.13 hereof.

• No Loan Party shall maintain any bank accounts or enter into any agreements with Credit Card Issuers or Credit Card Processors other than the ones expressly contemplated herein or in Section 6.12 hereof.

• Each Borrower shall deliver to Agent copies of Credit Card Processor Notifications which have been executed on behalf of such Borrower and delivered to such Borrower’s Credit Card Issuers and Credit Card Processors.

• No Loan Party shall maintain any bank accounts or enter into any agreements with Credit Card Processors other than as expressly contemplated herein or in Section 6.13 hereof.

More Definitions of Credit Card Processors

Credit Card Processors means any entity that provides credit card processing services to the Issuer and its Subsidiaries.

Credit Card Processors with respect to each Borrower, any servicing or processing agent or any financial intermediary who facilitates, services, processes or manages the credit authorization, billing transfer and/or payment procedures with respect to any of such Borrower’s sales transactions involving credit card or debit card purchases by customers using credit cards or debit cards issued by any Credit Card Issuer. Curative Equity: common equity contributions made to Parent which Parent contributes as additional common equity contributions to any Borrower and which is designated “Curative Equity” by Borrower Agent under Section 10.4 at the time it is contributed.

Credit Card Processors shall have the meaning given such term in Section 8.02(i).

Credit Card Processors with respect to each Borrower, any servicing or processing agent or any financial intermediary who facilitates, services, processes or manages the credit authorization, billing transfer and/or payment procedures with respect to any of such Borrower’s sales transactions involving credit card or debit card purchases by customers using credit cards or debit cards issued by any Credit Card Issuer. Credit and Collection Guidelines: Borrowers’ guidelines (which have previously been reviewed and approved by the Agent) which state in detail the credit criteria used by Borrowers in determining the creditworthiness of Contract Debtors and the collection criteria used by Borrowers in collection of amounts due from Contract Debtors. Curative Equity: common equity contributions made to Parent which Parent contributes as additional common equity contributions to any Borrower and which is designated “Curative Equity” by Borrower Agent under Section 10.4 at the time it is contributed.

Credit Card Processors means the credit card clearinghouses and processors used by the Loan Parties and listed in the Perfection Certificate as of the Third Amendment Effective Date, or otherwise disclosed in writing to the Agent by the Loan Parties from time to time following the Third Amendment Effective Date.

Credit Card Processors means any Person who has entered into an agreement with Borrower or any Affiliate of Borrower to acquire, process and settle credit card transactions against Registered Card Members' Credit Card Accounts in connection with the purchase of Meals by a Registered Card Member under the Registered Card Program.

Credit Card Processors means any Person who has entered into an agreement with TMN, the Transferor or any Affiliate of TMN or the Transferor to acquire, process and settle credit card transactions against Members' Credit Card Accounts in connection with the purchase of Meals by a Member under the Registered Card Program or the Private Label Program.
