Covenant Compliance Certificate definition

Covenant Compliance Certificate means a properly completed and executed Covenant Compliance Certificate substantially in the form of Exhibit X hereto.

Covenant Compliance Certificate means a certificate in such form as may be acceptable to the Lender, containing all the financial covenants and ratios with which the Borrower is required to comply during the term of this Agreement and containing calculations reflecting whether or not the Borrower is in compliance with each such financial covenant or ratio.

Covenant Compliance Certificate means a certificate in the form of Exhibit H attached hereto.

• As of the Closing Date, the Total Funded Debt to EBITDA Ratio shall be less than 2.50 to 1.00 and the Fixed Charge Coverage Ratio shall be greater than 1.20 to 1.00 and Borrower shall have delivered to Lender a Covenant Compliance Certificate evidencing such compliance.
