Cooperation Agreements definition

Cooperation Agreements means the Business Cooperation Agreement, the Exclusive Technical Service and Management Consulting Agreement, the Exclusive Call Option Agreement, the Equity Pledge Agreement, the Shareholder Rights Entrustment Agreement and Shareholders’ Powers of Attorney signed by certain Parties of this Agreement, including the amendments to the above agreements, and other agreements, contracts or instruments signed or issued from time to time by one or more Parties to ensure the fulfillment of the above agreements and signed or recognized by WFOE in writing.

Cooperation Agreements shall have the meaning as ascribed to it under Whereas Section of this Agreement.

Cooperation Agreements means, collectively, (i) the Access and Cooperation Agreement, dated the date hereof, by and between the Borrower Claims Trust and the Liquidating Trust in the form attached as Exhibit B to this Liquidating Trust Agreement and (ii) the cooperation agreement, dated the date hereof, by and between the Liquidating Trust and the Xxxxxxx Settlement Class relating to insurance.

• In accordance with Article 18.0 of the General Terms and Conditions for Programme Cooperation Agreements, nothing in or relating to this Agreement shall be deemed a waiver, express or implied, of any of the privileges and immunities of the United Nations, including UNICEF.

• Given the relevant percentage ratios in respect of the Engineering Trial Run Agreement and the Solibro Cooperation Agreements in aggregate are less than 5%, the Engineering Trial Run Agreement and the transactions contemplated thereunder are subject to reporting and announcement requirements but are exempt from the Independent Shareholders’ approval requirement under Chapter 14A of the Listing Rules.

Cooperation Agreements means the BCA, SCA and IPLA;
