Examples of Conversion Agent in a sentence
None of the Trustee, the Security Registrar, the Paying Agent or the Conversion Agent shall have any liability for, shall be accountable for, or shall have been deemed to make any representation as to the validity or value (of the kind or amount) of any of the shares of Common Stock or of any Reference Property.
The Trustee, the Paying Agent and the Conversion Agent shall not at any time be under any duty or responsibility to any Holder to determine the Conversion Rate or whether any facts exist which may require any adjustment of the Conversion Rate, or with respect to the nature or extent or calculation of any such adjustment when made, or with respect to the method employed in making the same.
The Company will give the Trustee, the Conversion Agent and the Holders at least 15 calendar days’ written notice of any such increase.
None of the Trustee, the Security Registrar, the Paying Agent or the Conversion Agent shall be responsible for (i) any failure of the Company to make any cash payment or to issue, transfer or deliver any shares of Common Stock or stock certificates or other securities or property upon the surrender of any Series 2024A Note for the purpose of conversion and (ii) the Company’s failure to comply with this Article 2.
The Company shall provide to each of the Trustee, the Paying Agent and the Conversion Agent a schedule of its calculations, and each of the Trustee, the Paying Agent and the Conversion Agent is entitled to rely conclusively upon the accuracy of such calculations without independent verification.
