Controlling Party definition

Controlling Party. Has the meaning specified in the Intercreditor Agreement.

Controlling Party means the Trust Collateral Agent, for the benefit of the Noteholders.

• The Party defending a Third Party Action pursuant to Section 8.6(b) shall be the “Controlling Party.” The Controlling Party shall consult with the non-Controlling Party on all material aspects of the defense.

• The Transfer Agent shall, within thirty (30) calendar days of the Transfer Agent’s execution of the Authorized Participant Agreement (as defined in the Agreement) for any new Authorized Participant or within thirty (30) calendar days of the Transfer Agent being notified of or detecting a change to any relevant Authorized Participant, UBO or Controlling Party information, verify the identifying information of such Authorized Participant as recorded on the Transfer Agent’s record keeping systems.

More Definitions of Controlling Party

Controlling Party means the party controlling the defense of any Third Party Action.
