Controlling Law and Severability. This License will be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law principles. If you are a consumer based in the United Kingdom, this License will be governed by the laws of the jurisdiction of your residence. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.

Any cause of action with respect to Application must be instituted within one (1) year after the claim or cause of action has arisen in Shelby County, Tennessee or be barred.

Any dispute resolution proceedings, whether in arbitration or court, will be conducted only on an individual basis and not in a class or representative action or as a named or unnamed member in a class, consolidated, representative or private attorney general legal action, unless both TTEC and Client specifically agree to do so in writing following initiation of the arbitration. If Client is an agency or other part of a government entity, other terms or modifications to this EUA may apply.

In the event of any dispute concerning the Service, or any matter related to this Agreement, You agree that the litigation shall be in state or federal courts in New York City. Digital Check and you each hereby irrevocably consent to the exclusive jurisdiction and venue of the federal and state courts located in Xxxx County, Illinois with respect to any claims, suits, or proceedings arising out of or in connection with this License, and agree not to commence or prosecute any such claim, suit, or proceeding other than in the aforementioned courts. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.

Each party hereto submits to the jurisdiction of the state and federal courts of Santa Xxxxx County and the Northern District of California for the purpose of all legal proceedings arising out of or relating to this Agreement or the subject matter hereof. Each party waives any objection which it may have to contest such forum.

Any cause of action with respect to Product must be instituted within one (1) year after the claim or cause of action has arisen in and must be brought in a court of competent jurisdiction in Shelby County, Tennessee or be barred. FedEx will also have the right to bring claims against the Licensee in the courts of the Licensee’s jurisdiction, where applicable
