Controlled Group of Corporations definition

Controlled Group of Corporations has the meaning set forth in Code Section 1563.
Controlled Group of Corporations means any of the following:
Controlled Group of Corporations means that term as defined in section 1563(a) of the internal revenue code, 26 USC 1563.

  • The Company shall terminate, effective as of the day immediately preceding the date the Company becomes a member of the same Controlled Group of Corporations (as defined in Section 414(b) of the Code) as Parent (the “401(k) Termination Date”), any and all 401(k) plans maintained by the Company or any of its Subsidiaries unless Parent shall provide notice to the Company that any such 401(k) plan(s) shall not be terminated pursuant to this Section 6.12(a).

  • Unless otherwise directed in writing by Parent at least five business days prior to the consummation of the Offer, the Company will terminate any and all Employee Plans intended to qualify as a qualified cash or deferred arrangement under Section 401(k) of the Code, effective as of the day immediately preceding the date the Company becomes a member of the same Controlled Group of Corporations (as defined in Section 414(b) of the Code) as Parent.

More Definitions of Controlled Group of Corporations

Controlled Group of Corporations means a group of companies within the meaning of Section 414(b) or (c) of the Code) of which Sempra Energy is a component member, determined by applying an ownership threshold of 50%.
