Control Account Agreements definition

Control Account Agreements means each tri-party agreement by and among a Loan Party, the Administrative Agent and a depository bank or securities intermediary at which such Loan Party maintains a deposit account or investment account, granting “control” (as defined in Article 9 of the UCC) over such deposit account and investment account to the Administrative Agent in a manner that perfects the Lien of the Administrative Agent, for its benefit and for the benefit of the Lenders, under the UCC.
Control Account Agreements means each tri-party agreement by and among a Loan Party, the Collateral Agent and a depository bank or securities intermediary at which such Loan Party maintains any deposit accounts or investment accounts in the United States, granting “control” over such deposit accounts and investment accounts to the Collateral Agent in a manner that perfects the Lien of the Collateral Agent under the UCC.
