Contributory Services shall include Service usage charges for the following services, calculated after the application of all available discounts: Domestic Sprint Frame Relay Service, Global Sprint Frame Relay Service, Domestic access lines (including monthly ACF and COC charges), Global access lines, Domestic Sprint Managed Network Services, Global Sprint Managed Network Services, Domestic Sprint Dedicated Access Facilities ("DAFs"), Global Sprint DAFs, Domestic Sprint Dedicated IP Service, Sprint ATM Service, and the total monthly circuit charges for the domestic portion of International private line circuits. In the event the Term or Renewal Term, as the case may be, includes a partial Contract Year, the Customer's MAC will be prorated based upon the number of months in the partial Contract Year. If Bridge is unable to satisfy the MAC for a Contract Year, Bridge may "carry forward" up to * of the MAC for such Contract Year and add such amount to the MAC for the following Contract Year. If Customer is unable to satisfy the MAC, as adjusted, in the last Contract Year of this Agreement, then the last Contract Year will be extended for 3 additional months. If, at the conclusion of such extension, Customer is unable to satisfy the MAC, as adjusted, then Customer must pay Sprint, in addition to all other charges, the difference between the MAC, as adjusted, and Customer's Contributory Services Usage Charges in the last Contract year. If Customer terminates this Agreement or ceases to use Network Services to any material extent, Customer will pay to Sprint the MAC divided by 12 multiplied by the number of billing months remaining in the Term. Contributory Services means all of the following services: (i) Domestic Qwest Express Originating and Terminating Usage; (il) Qwest Express International Terminating Usage (including Canadian and Mexican); (iii) Qwest Express Directory Assistance Usage; (iv) Qwest Express Canadian Origination Service; (v) ReQwest Switchless Reseller Services; (vi) all eligible Dedicated Internet Access Monthly Recurring Charges ("MRCs"); and (vii) all other eligible Dedicated Facilities MRCs (e.g., Frame Relay, Private Line, and ATM Services).
Contributory Services means: (a) all Company services that are purchased from Company by Customer under the Agreement on or after the Effective Date; and (b) all services provided via the former Company network prior to Company’s merger with Company (but excluding ILEC Services not provided by Company as part of Company’s service, CPE provided by the former Company Enterprise Solutions Group except to the extent CPE contributes (Limited CPE Contribution Toward the Revenue Commitment), and wireless services provided by Company Wireless), that are purchased from Company by Customer and Customer Affiliates under other agreements on or after the Effective Date that would have been Contributory Services if they had been purchased under this Agreement, if Customer has notified the Company Enterprise Account sales team supporting Customer in writing of such other agreements, in which case such services will be “Contributory Services” on a going forward basis for purposes of this Agreement. The Contributory Services may change over the Term and specific service categories may expand or contract. Each change is automatically incorporated into this Agreement on the date of such change. Limited CPE Contribution Toward the Revenue Commitment: CPE and CPE-related Services (other than CPE and CPE-related Services purchased under the Agreement will contribute toward the Revenue Commitment when such CPE and CPE-related Services are directly bundled and purchased along with the Company Professional Services, subject to the following limitations: (i) the amount of CPE and CPE-related Services that can contribute is limited to four times the dollar amount of the Company Professional Services purchased, and (ii) the maximum of CPE and CPE-related Services that can contribute toward the Revenue Commitment is $8,000,000 in each Contract Year. CPE and CPE-related Services do not contribute toward the Data Sub-commitment. Ramp Down Period: Provided that Customer is in compliance with its obligations under the Agreement, at Customer's written request at least sixty (60) days prior to the end of the Term, following the expiration of the Term, Customer may continue to receive Services at the rates and discounts provided herein for up to 9 months. Contributory Services shall be Sprint's ATM and Clearline (including OC-3" Service) Products and Services specified in this Agreement, and Sprint's Frame Relay and Clarity services which may be Ordered by Customer. All monthly recurring charges incurred by Customer for the Contributory Services (net of all discounts) shall be used in calculating Customer's usage towards the Minimum Service Commitment. At the end of each Service Period above, Customer shall pay Sprint any shortfall in the Minimum Service Commitment for that Service Period.
