Contributed Equipment definition

Contributed Equipment shall have the meaning set forth in Section 1.1(d).

Contributed Equipment are defined in Section 2.3 of the Contribution Agreement.

Contributed Equipment means the equipment listed on Schedule X hereto.

Examples of Contributed Equipment in a sentence

• All of the Equipment identified on Schedule 1.1(d) (the Equipment referred to in this Section 1.1(d) being referred to in this Agreement as the “Contributed Equipment”) (it being understood that equipment owned by a third party and leased to Geron, as well as the BioSurplus Equipment, shall not constitute Contributed Equipment).

• At the Closing, Geron shall make available to BAC the Contributed Biological Materials, Contributed Equipment, Contributed Materials and Contributed Records (the “Geron Tangible Contributed Assets”), at the following locations: (i) Pacific BioMaterials Management, Inc., 0000 X.

• Geron owns, and has good and valid title to, all of the Contributed Biological Materials, Contributed Equipment, Contributed Materials and the BioSurplus Equipment, free and clear of any Encumbrances.

• Party B also shall be responsible to provide a complete list of the Contributed Equipment, technical drawings of the Contributed Equipment, drawings and manuals for the installation of the production line and other information materials that are related to the installation and start-up of the Contributed Equipment.

• Exhibit C which shall serve as conclusive evidence of Kasima’s acceptance of the transfer and assignment of the Contributed Equipment and any rights under any warranties or other related commitments with respect thereto from any equipment manufacturers.

More Definitions of Contributed Equipment

Contributed Equipment means the digital projection equipment set forth on Exhibit A attached hereto.

Contributed Equipment means the (i) hardware and equipment listed on Exhibit A-3 (but not including any third party software or other technology which may be stored, embedded or installed in digital form by the media thereon) and (ii) the physical assets that have been used exclusively by the Serve Business prior to the Closing (as defined below) that are located at the Serve Facilities.

Contributed Equipment has the meaning set forth in Section 5.5(a).

Contributed Equipment means all tangible personalty; electronic devices; towers; trunk and distribution cable; decoders and spare decoders for scrambled satellite signals; amplifiers; power supplies; conduit; vaults and pedestals; grounding and pole hardware; installed subscriber's devices (including drop lines, converters, encoders, transformers behind television sets and fittings); "head-ends" and "Hubs" (origination, transmission and distribution system) hardware; tools; inventory; spare parts; maps and engineering data; vehicles; supplies, tests and closed circuit devices; furniture and furnishings; and all other tangible personal property and facilities owned or leased by the Contributed System Entities and primarily relating to, used in or held for use in connection with or otherwise required to carry on the business of the Asset Contributed Systems as currently conducted and to be conducted in accordance with this Agreement prior to the Closing Date;

Contributed Equipment. As used herein the term "Contributed Equipment" shall mean those items listed in ATTACHMENT 1 attached hereto and incorporated herein by reference.
