Contractor Technology. Intellectual property the Contractor owned before the effective date or developed and owned outside the scope of this Contract, including any modifications, enhancements or improvements to that intellectual property. Contractor Technology includes data models; deliverable examples; processes, procedures and techniques; proprietary information, methodologies, routines and software; templates; tools, including general purpose consulting tools and project management tools; and utilities.

Contractor Technology means the Software, Hardware, and On-Premises System, as applicable, and any technology, information, content and data, together with Intellectual Property Rights related thereto, owned or used by the Contractor in the performance of the Services.

Contractor Technology means intellectual property owned by Contractor prior to the Effective Date or developed and owned by Contractor outside the scope of this Contract (including modifications, enhancements or improvements thereto), including Contractor’s proprietary methodologies, project management and other tools, deliverable examples, procedures, processes, techniques, data models, templates, general purpose consulting and software tools, utilities, and routines.

Examples of Contractor Technology in a sentence

To the extent that any Contractor Technology is contained in any of the Contract deliverables including any derivative works, the Contractor grants the State a royalty-free, fully paid, worldwide, perpetual, non-exclusive license to use such Contractor Technology in connection with the Contract deliverables for the State's purposes.
Contractor will, in accordance with times in Appendix B, promptly repair or replace each of the Module, Deliverables, or Contractor Technology in breach of such warranty at no charge to the Department.
The Department will reproduce and include the copyright and other proprietary notices and product identifications provided by Contractor on such copies, in whole or in part, or on any form of the Contractor Technology provided to the Department.
As between the parties, subject to Section 9.3 above, all Work Products, including without limitation Custom Software (except for the Contractor Technology, Proprietary Software, and Third-Party Software, which for the purposes of this Section of the Contract will not be owned by the Department) and Data, will be deemed works made for hire of the Department for all purposes of copyright law, and copyright will belong solely to the Department.
Contractor warrants to the Department that the Module, Deliverables, and Contractor Technology provided to the Department, under this Contract contain or will contain no Unauthorized Code or Self-Help Code.

Contractor Technology means proprietary technology (including software, hardware, products, processes, algorithms, taxonomies, user interfaces, know-how, techniques, Content, designs and other tangible or intangible technical material or information) made available to you in the course of providing the services.

Contractor Technology means all confidential information included in the process information, designs, software and other documents delivered by Contractor to Client under this Agreement or embodied in the Facility or Contractor’s Equipment.

Contractor Technology means proprietary information and materials in electronic design automation, CAD or CAE, electronic product manufacturing, software tools, computer programs and their documentation, computer languages, methods, methodologies, design flows, cell libraries, algorithms, databases, mechanical and electronic hardware, electronic components and other materials and technology owned or controlled by Contractor.
