Contract Shares definition

Contract Shares has the meaning provided in Section 1.1(b).

Contract Shares means an Award that entitles the recipient to receive unrestricted Shares, without payment, if the recipient is still providing services to the Trust or one of its Subsidiary Entities as of the future date specified in the Award Agreement.

Contract Shares has the meaning provided in Section 2.03(b).

Examples of Contract Shares in a sentence

• The Firm Shares and the Additional Shares (if any) are collectively referred to herein as the "Contract Shares".

• Seller shall pay any and all documentary, stamp, transfer or similar taxes and charges that may be payable in respect of the entry into this Agreement and the transfer and delivery of the Contract Shares pursuant hereto.

• Seller agrees to make a cash payment in respect of any fractional shares included in the Contract Shares at the Exchange Date, in an amount equal to the value of such fractional shares at the Average Market Price.

Contract Shares has the meaning specified in the Contract.

Contract Shares means bearer shares in book-entry form, each with a current nominal value of CZK 250, with such nominal value being decreased to CZK 100, of the registered capital of TATRA.

Contract Shares means: (A) in relation to the First Offshore Drilling Contract, that number of common shares of par value US$5 each in the share capital of NADL (rounded up to the nearest whole number of shares) which equals A/B where: A = (i) ***** of the Estimated Drilling Revenue for the First Offshore Drilling Contract (ii) minus any amounts outstanding from Rosneft to NADL under this Agreement as at the Acceptance Date under the First Offshore Drilling Contract; andB = US$9.25; and (B) in relation to any Subsequent Offshore Drilling Contract, that number of common shares of par value US$5 each in the share capital of NADL (rounded up to the nearest whole number of shares) which equals A/B where: A = the Contract Shares Calculation; and B = US$9.25;

Contract Shares means the shares of Common Stock (and/or, if a Significant Spin-off, a Significant Cash Distribution or an Adjustment Event has occurred, securities, cash and/or other property, as applicable) which are deliverable, in the aggregate, upon the exchange of all outstanding Notes pursuant to Section 2.02.

Contract Shares means, collectively, the 9,004,000 shares of Common Stock held by the Trust Custodian pursuant to the Trust Custodial Agreement as of the Closing Date and up to an additional 1,350,600 shares of Common Stock to be held by the Trust Custodian pursuant to the Trust Custodial Agreement as of the Option Closing Date to the extent the Initial Purchasers' overallotment option is exercised pursuant to the Purchase Agreement. Contract Shares shall also include Marketable Securities received by the Trust Custodian in lieu of or in addition to shares of Common Stock as a result of an event specified in Section 3.1, 3.2, 3.3, 3.4 or 3.5 of the Trust Obligation.

Contract Shares means shares of Common Stock; provided, however, that Purchaser may at any time appropriately revise the definition of "Contract Shares" to reflect any adjustment it makes in the payment or settlement terms of this Agreement in connection with Potential Adjustment Events or Reorganization Events as provided in Article V.

Contract Shares means all of the issued shares of the Company as at Completion, comprising those issued shares referred to in Recital (A) hereinbefore appearing;
