Continuously Effective definition

Continuously Effective with respect to a specified registration statement, shall mean that it shall not cease to be effective and available for Transfers of Registrable Securities thereunder for longer than either (i) any ten (10) consecutive business days, or (ii) an aggregate of fifteen (15) business days during the period specified in the relevant provision of this Agreement.

Continuously Effective with respect to a specified registration statement, means that such registration statement shall not cease to be effective and available for transfers of Registrable Securities in accordance with the method of distribution set forth therein for longer than five (5) business days during the period specified in the relevant provision of this Agreement.

Continuously Effective means, with respect to a specified registration statement, that it shall not cease to be effective and available for transfers of Registrable Securities thereunder for longer than any forty-five (45) consecutive business days and not more than 90 business days in any 365-day period prior to the Expiration Date.

• The Company agrees that it shall maintain the Shelf Registration Continuously Effective with respect to such Registrable Securities for so long as there are any Registrable Securities then outstanding, and that the provisions of Sections 5 through 10 hereof shall apply with respect to such Shelf Registration.

• The Company shall use its reasonable best efforts to keep the Underwritten Offering Registration Statement Continuously Effective for up to 60 calendar days or until such earlier date as of which all the Registrable Securities under the Underwritten Offering Registration Statement shall have been disposed of in the manner described in the Underwritten Offering Registration Statement.

More Definitions of Continuously Effective

Continuously Effective with respect to the Resale Registration Statement means that such registration statement shall not cease to be effective and available for Transfers of Registrable Securities.

Continuously Effective means, with respect to a specified registration statement, that it shall not cease to be effective and current and compliant with respect to applicable disclosure requirements and available for Transfers of Registrable Securities thereunder, and shall not be subject to any stop order or similar order issued by the Commission, for longer than either (i) any ten (10) consecutive Business Days, or (ii) an aggregate of fifteen (15) Business Days during the period specified in the relevant provision of this Agreement.

Continuously Effective with respect to a specified Registration Statement, means that such Registration Statement shall not cease to be effective and available for transfers of Registrable Securities in accordance with the method of distribution set forth therein during the period specified, subject to applicable blackout periods, in the relevant provision of this Agreement.

Continuously Effective. As used herein, the term "Shelf Registration" means the Initial Shelf Registration and any Subsequent Shelf Registration.
