Continuous Disclosure Materials definition

Continuous Disclosure Materials has the meaning given to that term in subsection Section 7(1)(h) hereto;

Continuous Disclosure Materials means all documents previously published or filed by the Corporation with the Regulatory Authorities pursuant to applicable timely and continuous disclosure requirements of Applicable Securities Laws and shall include the Prospectuses when filed;

Continuous Disclosure Materials means all reports and other documents published or filed by the Company with the Canadian Commissions or the SEC as at the date of this Agreement;

Examples of Continuous Disclosure Materials in a sentence

• Except as described in the Purchaser Continuous Disclosure Materials, there are no options, warrants, conversion privileges, pre-emptive rights or other rights, agreements or arrangements obligating the Purchaser to issue, sell or acquire any securities of or interests in the Purchaser or its subsidiaries, as applicable, or securities or obligations of any kind convertible into or exchangeable for securities or other ownership interests of the Purchaser or its subsidiaries or any other Person.

• Except as disclosed in the Purchaser Continuous Disclosure Materials, the Purchaser is not engaged in any litigation, arbitration, prosecution or other legal proceedings relating to the Purchaser, and to the knowledge of the Purchaser, no such proceedings have been threatened and, having made reasonable enquiries, there are no facts known or which ought to be known to the Purchaser and which are not known to the Vendor which are likely to give rise to the same.
