Continuing Arrangements definition

Continuing Arrangements means those arrangements set forth on Schedule 1.1(24) and such other commercial arrangements among the Parties that are intended to survive and continue following the Separation Time; provided, however, that for the avoidance of doubt, Continuing Arrangements shall not be Third Party Agreements.
Continuing Arrangements means:
Continuing Arrangements means those arrangements set forth on Schedule 1.1(11) and such other commercial arrangements between the Parties that are intended to survive and continue following the Effective Time.

Examples of Continuing Arrangements in a sentence

  • Except as set forth in the Transition Services Agreement or the other Continuing Arrangements, payments made in connection with all continuing transactions following the Proposed Transaction between Distributing 3 and Controlled 3 will be for fair market value based on terms and conditions arrived at by the parties bargaining at arm’s length.

More Definitions of Continuing Arrangements

Continuing Arrangements means those arrangements set forth on Schedule 1.1(48).
Continuing Arrangements means those arrangements set forth on Schedule 1.1(43) and such other commercial arrangements among the Parties that are intended to survive and continue following the Effective Time; provided, however, that for the avoidance of doubt, Continuing Arrangements shall not be Third Party Agreements.
Continuing Arrangements means those arrangements set forth on Schedule 1.1(33) and such other commercial arrangements between one or more members of the Dover Group, on the one hand, and one or more members of the Apergy Group, on the other hand, that are expressly intended in this Agreement or any Ancillary Agreement to survive and continue following the Effective Time.
Continuing Arrangements shall have the meaning set forth in the Separation Agreement.
Continuing Arrangements means those arrangements set forth on Schedule 1.1(25) and such other commercial arrangements among the Parties (and/or the members of their respective Groups) that are intended to survive and continue following the Effective Time.
Continuing Arrangements means the agreements listed on Schedule A.
