The Seller and Purchaser shall reasonably cooperate with each other in the conduct of any Tax Contest, and each shall execute and deliver such powers of attorney and other documents as are necessary to carry out the intent of Section 7.2(e).
BUILDER may coordinate BUILDER Door Prize Contest with FBA for the purposes of including in marketing efforts where possible, as deemed by FBA.

Any failure to so notify the other party of any Tax Contest shall not relieve such other party of any liability with respect to such Tax Contest except to the extent such party was actually and materially prejudiced as a result thereof.
