Content Participant definition

Content Participant means an entity that has executed a Content Participant Agreement that remains in effect, and shall include its Affiliates.

Content Participant means a company which has executed a Content Participant Agreement with DTLA, or with an entity authorized by DTLA to execute such agreements. DTLA will identify such companies periodically.

Content Participant shall have the meaning set forth in the preamble to this Agreement.

Examples of Content Participant in a sentence

• Notwithstanding the preceding sentence, Adopter agrees that an Eligible Content Participant shall be entitled to seek injunctive relief to prevent further or threatened breaches of this Agreement if Adopter has engaged in a pattern of behavior involving the repeated release of non-compliant products or components for which Adopter received notice of the breach, whether or not Adopter corrected such repeated breaches following such notice.

• Except as rights under this Agreement are affected/determined by the terms of Content Participant Agreements, this Agreement, the exhibits hereto and the Specifications constitute the entire agreement between the Parties with respect to the subject matter involved and supersede all prior oral or written agreements.

• Licensor’s remedies hereunder for any breach by Content Participant of this Agreement shall be limited to such injunctive or equitable relief, except (i) in the event that Content Participant willfully breaches, or engages in a pattern or practice of breaching, its obligations hereunder, it shall be liable for Licensor’s attorneys’ fees and expenses incurred in connection with any enforcement action brought by Licensor in which Licensor is the prevailing party and (ii) as provided in Exhibit F.

• Nothing herein shall be construed as an inducement for Content Participant to reverse engineer any products or components in which the Specification is implemented.

• In no event shall Content Participant have any liability, after the termination of this Agreement, for any effects, after such termination, of Content Participant having encoded, or directed to be encoded, using DTCP, in accordance with the terms of this Agreement, its Commercial Audiovisual Content prior to such termination, including but not limited to in masters or other copies of such content made before such termination.

More Definitions of Content Participant

Content Participant means an entity that is a party to a valid and existing Content Participant Agreement or Content Participant Agreement-Light to which the BDA is also a party.

Content Participant means a Person that (a) distributes, or causes or permits the distribution or transmission of, Video Content owned or licensed by such Person in commercial quantities, or via mass distribution channels, such as broadcast, satellite or cable transmission, to the general public in a form that would, in the course of transmission up to and including the display of such Video Content, use a channel protected by HDCP and (b) has executed a Content Participant Agreement with Licensor. Licensor will identify Content Participants periodically.

Content Participant shall have the meaning set forth in the preamble to this “Content Participant Agreement” shall mean any Content Participant Agreement entered into by Licensor and a Fellow Content Participant, including but not limited to an AV Content Participant Agreement.

Content Participant means a company that has executed a Content Participant Agreement with Sony.

Content Participant means an entity and its Affiliates that have executed an IPRM-HN Content Participant Agreement with Motorola.

Content Participant means a Person that (a) distributes, or causes or permits the distribution or transmission of, Audiovisual Content owned or licensed by such Person in commercial quantities, or via mass distribution channels, such as broadcast, satellite or cable transmission, to the general public in a form that would, in the course of transmission up to and including the display of such Audiovisual Content, use a channel protected by HDCP and (b) has executed a Content Participant Agreement with Licensor. Licensor will identify Content Participants periodically. For the avoidance of doubt, and without limiting any term HDCP License Agreement Last Revised: March 6, 2017 of this Agreement, “Content Participant” (and “Eligible Content Participant” under Section 1.23) include a Person who has executed a Content Participant Agreement with Licensor before or after the date of this Agreement.

Content Participant means the entity designated at the beginning of this Interim Agreement (the “Executing Entity”), and shall include its Affiliates. For the avoidance of doubt, any reference to Content Participant in this Interim Agreement shall be deemed to include the Executing Entity and its Affiliates, and any reference to “Affiliates” in the phrase “Content Participant and its Affiliates” or “Content Participant or its Affiliates” shall include any of the Executing Entity’s Affiliates but shall not include Affiliates of the Executing Entity’s Affiliates unless they are also Affiliates of the Executing Entity.
