Constructive Change definition

Constructive Change means an act or omission that, although not identified by a “change order,” does in fact cause a change in the contract work.
Constructive Change means, with respect to an AACS Authorized Digital Output only, a pattern or repeated instances of failure to enforce compliance with specifications, license terms and/or compliance rules in effect at the time of AACS LA’s approval of the AACS Authorized Digital Output, which leads either to a significant number of implementers not complying or to a smaller number of implementers, including a single implementer, repeatedly breaching (i.e., multiple products/versions), in either case with repeated non-enforcement, and in either case thereby causing a constructive change to such specifications, license terms and/or compliance rules.
Constructive Change shall have the meaning set forth in Section 7.4.

Examples of Constructive Change in a sentence

  • Obtain Architect's review and written approval in the form of a Constructive Change Directive or Supplemental Instruction before making changes or additions to construction or removing historic materials.

  • The project contingency shall only be adjusted by means of issuing a written Constructive Change Directive, approved by the Owner, and it shall be clearly noted on the document that costs are allocated against the project contingency.

  • Constructive Change Concept – When a contractor performs work that is not part of the contract scope but the contractor relied upon some degree of Government direction then a constructive change may have occurred, which will result in a contractor submitting a request for equitable adjustment.

  • In such case an appropriate Constructive Change Directive shall be issued deducting from payments then or thereafter due the Contractor the reasonable cost of correcting such deficiencies, including Owner's expenses and compensation for the Design Agent's additional services and expenses made necessary by such default, neglect or failure.

  • A Constructive Change Directive shall be used in the absence of total agreement on the terms of a Change Order.

  • Constructive Change Concept – When a contractor performs work that is not part of the contract scope but the contractor relied upon some degree of government direction then a constructive change may have occurred.

  • Information issued on a Response to Request for Information shall NOT authorize a change in Contract Price or Contract Time and shall not be considered a Constructive Change Order.

  • A Constructive Change Directive is a written order signed by JEG directing a change in the Work prior to an agreement on price or time adjustment to the Purchase Order, if any.

  • JEG, without invalidating the Subcontract, may order extra work or make changes in the Work by altering, adding to, or deducting from, the Work by Change Order, Constructive Change Directive, or order for a minor change in the Work.

  • Obtain review and written approval in the form of a Constructive Change Directive or Supplemental Instruction before making changes or additions to construction or removing historic materials.

Related to Constructive Change

  • Constructive Termination means:

  • Constructive Ownership means ownership of Shares by a Person, whether the interest in Shares is held directly or indirectly (including by a nominee), and shall include interests that would be treated as owned through the application of Section 318(a) of the Code, as modified by Section 856(d)(5) of the Code. The terms “Constructive Owner,” “Constructively Owns” and “Constructively Owned” shall have the correlative meanings.

  • Constructive Dismissal means, unless consented to by the Participant, any action that constitutes constructive dismissal of the Participant, including without limiting the generality of the foregoing:

  • Involuntary Termination means a termination of your employment with the Company pursuant to either (i) a termination initiated by the Company without Cause, or (ii) your resignation for Good Reason, and provided in either case such termination constitutes a Separation from Service. An Involuntary Termination does not include any other termination of your employment, including a termination due to your death or disability.

  • Change in Ownership means change of ownership of the Bidder/Member in a Bidding Consortium by way of merger/ acquisition/ amalgamation/ reorganisation/ consolidation/ demerger;

  • Constructive Discharge means the occurrence of any of the following:

  • Change in Control Transaction means the occurrence of any of the following events:

  • Voluntary Termination means the termination by Executive of Executive's employment following a Change in Control which is not the result of any of clauses (i) through (v) set forth in the definition of Involuntary Termination above.

  • Change in Control Date means the date on which a Change in Control occurs.

  • Change in Control means the occurrence of any of the following events:

  • 409A Change in Control means a “Change in Control” which also constitutes a change in ownership or effective control of the Company or a change in the ownership of a substantial portion of the assets of the Company, all within the meaning of § 409A of the Internal Revenue Code of 1986, as amended (the “Code”).
