Construction ready definition

Construction ready means the extent to which the planning and design work have been completed and construction is able to begin, and the degree to which a project shall be completed expeditiously once begun. An evaluation of whether a project is construction ready shall include the status of the design work, project site readiness, zoning and permitting approvals, as well as the anticipated timeframe during which the project will be completed, and the pacing of related construction.
Construction ready means that (a) the Development Work shall have been completed by Seller pursuant to Section 6.6 (except as set forth in Schedule 6.6 and any other aspects of the Development Work that Buyer has, in each case in its sole discretion, waived in writing or agreed with Seller in writing would be performed by Seller or Buyer, in either case at Seller’s cost, after Closing), (b) the representations and warranties set forth in Section 4.5(c) shall be true and correct in all respects and (c) except as set forth in Schedule 6.6, the Company has ownership of, or the right to use, all Assets and Permits necessary to enable a Sufficient Project to be acquired, located, developed, constructed, installed, interconnected, completed, operated and maintained on the Site (other than non-discretionary ministerial Permits that are not necessary prior to Closing).
Construction ready has the meaning set forth in Exhibit B.

  • For clarity, if Seller assigns the wind farm option agreements to Buyer at Closing, upon receipt of (i) the Exercise Notice and (ii) Buyer's Information or before July 1, 2015 and not less than 180 days prior to the scheduled beginning of construction Seller shall act on behalf of Buyer to exercise or facilitate exercise of the wind farm option agreements and shall perform, or shall have performed, all acts necessary to bring the Project to Construction Ready Status.

Paints, coatings, solvents, asbestos, any liquid, compressed gases or semi-liquids and garbage are not construction wastes.

  • Construction Budget means the fully-budgeted costs for the acquisition and construction of a given parcel of real property (including, without limitation, the cost of acquiring such parcel of real property, reserves for construction interest and operating deficits, tenant improvements, leasing commissions, and infrastructure costs) as reasonably determined by the Parent in good faith.

  • CONSTRUCTION EQUIPMENT means all appliances and equipment of whatsoever nature for the use in or for the execution, completion operation or maintenance of the work unless intended to form part of permanent work.
