Constituent Company definition

Constituent Company means an existing company that is participating in a merger or consolidation with one or more other existing companies;
Constituent Company means an existing company that is participating in a Merger with one or more other existing companies within the meaning of the Law;
Constituent Company means a company that is participating in a merger or consolidation with one or more other companies;

  • Notwithstanding the foregoing, the Company makes no representations that the payments and benefits provided under this Agreement are exempt from, or compliant with, Section 409A of the Code and in no event shall any Constituent Company be liable for all or any portion of any taxes, penalties, interest or other expenses that may be incurred by Executive on account of non-compliance with Section 409A of the Code.

  • Nor shall it interfere with or restrict in any way, other than the forfeiture of all rights under this Agreement, the right of the Employee voluntarily to terminate his employment with the Company, Constituent Company or another group company.

Constituent Company is defined in the first paragraph of this Agreement.
Constituent Company means any of the following:
Constituent Company means the Company or a company which is a Subsidiary and which has been nominated by the Board to participate in the Plan from time to time;
