As noted in paragraphs 16-22 below, the RAP process has recognized a number of persons involved in informal uses of the Project area as entitled to assistance.
The Company will not, as of the end of each fiscal quarter, permit the ratio of Consolidated Debt outstanding on such date to Consolidated Operating Cash Flow for the immediately preceding four quarter period, taken as a single accounting period ending on the date of calculation, to exceed (i) 3.00 to 1.00 as of the end of any fiscal quarter prior to December 31, 2006 and (ii) 2.75 to 1.00 at the end of any fiscal quarter thereafter.
If, during the period for which Consolidated Operating Cash Flow is being calculated, the Company or a Subsidiary has (i) acquired one or more Persons (or the assets thereof) or (ii) disposed of one or more Subsidiaries (or substantially all of the assets thereof), Consolidated Operating Cash Flow shall be calculated on a pro forma basis as if all of such acquisitions and all such dispositions had occurred on the first day of such period.
