Consideration Per Share definition

Consideration Per Share means, with respect to shares of Common Stock or Rights, the quotient of: (a) the Aggregate Consideration Receivable in respect of such shares of Common Stock or such Rights, divided by (b) the total number of such shares of Common Stock or, in the case of Rights, the total number of shares of Common Stock into which such Rights are exercisable or convertible.

Consideration Per Share has the meaning assigned in Section 3.05.
