Confidential Subject Matter definition

Confidential Subject Matter means all Inventions, Copyright Works, data, specifications, know-how, lists, printed materials, technical information, cost/pricing/marketing information and other subject matter that is not available to the general public in a substantially identical form without restriction.
Confidential Subject Matter means any and all information, know-how and data, technical or non-technical, disclosed or provided by one party to the other, whether disclosed or provided in oral, written, graphic, photographic, electronic or any other form, except for subject matter and information:
Confidential Subject Matter means any and all information, know-how and data, technical or non-technical, disclosed or provided by one party to the other, whether disclosed or provided in oral, written, graphic, photographic, electronic or any other form, except for subject matter and information: that is or becomes generally known or available to the public without breach of this Agreement; that is known to the receiving party at the time of disclosure, or as evidenced by written records of the receiving party; that is known or independently developed by the receiving party and can be proven as such through written records of the receiving party; that is disclosed to the receiving party in good faith by a third party who has an independent right to such subject matter and information; that is required to be disclosed by law.

  • Executive acknowledges and agrees that immediately upon conception or generation, whichever occurs earlier, all such Inventions and Confidential Subject Matter to be disclosed by Executive to Company pursuant to the preceding sentence during the two (2) year period following the termination of Executive’s employment with Company will become the sole and exclusive property of the Company.

More Definitions of Confidential Subject Matter

Confidential Subject Matter means any and all information, know-how and data, technical or non-technical, disclosed or provided by ILRI to the board member, whether disclosed or provided in oral, written, graphic, photographic, electronic or any other form.
Confidential Subject Matter means all written or oral material provided to board members by the institute or its staff, marked or communicated as ‘in confidence’ or ‘commercial-in-confidence’.

  • Licensed Subject Matter means Patent Rights and/or Technology Rights.

  • Subject Matter means the Unit as finally described in the Sectional Plan, read together with the Register;

  • Secret Matter means any matter connected with or arising out of the performance of this Contract which has been, or may hereafter be, by a notice in writing given by the Customer to the Supplier be designated ‘top secret’, ‘secret’, or ‘confidential’;

  • Confidential or Proprietary Information means any secret, confidential or proprietary information of the Company or an affiliate (not otherwise included in the definition of a Trade Secret under this Employment Agreement) that has not become generally available to the public by the act of one who has the right to disclose such information without violation of any right of the Company or its affiliates.

  • Confidential means confidential financial information concerning offeror’s organization and data that qualifies as a trade secret in accordance with the Uniform Trade Secrets Act NMSA 1978 57-3-A-1 to 57-3A-7. See NMAC 1.4.1.45. As one example, no information that could be obtained from a source outside this request for proposals can be considered confidential information.

  • Subject Matter Expert means a person who has working or expert knowledge about a particular topic or field.

  • Confidential Materials means all tangible materials containing Confidential Information, including without limitation written or printed documents and computer disks or tapes, whether machine or user readable.

  • Contract Material means all material created or required to be developed or created as part of, or for the purpose of performing, the Services, including documents, equipment, information and data stored by any means.

  • Confidential commercial or financial information means any business information (other than trade secrets) which is exempt from the mandatory disclosure requirement of the Freedom of Information Act, 5 U.S.C. 552. Exemptions from mandatory disclosure which may be applicable to business information contained in proposals include exemption (4), which covers “commercial and financial information obtained from a person and privileged or confidential,” and exemption (9), which covers “geological and geophysical information, including maps, concerning wells.”

  • Business Information means all information in whatever form held, including (without limitation) all: (i) formulas, designs, specifications, drawings, know-how, manuals and instructions; (ii) customer lists, sales, marketing and promotional information; (iii) business plans and forecasts; (iv) technical or other expertise; and (v) all accounting and Tax records, correspondence, orders and inquiries;

  • Other Confidential Consumer Information The Contractor agrees to comply with the requirements of AHS Rule No. 08-048 concerning access to information. The Contractor agrees to comply with any applicable Vermont State Statute, including but not limited to 12 VSA §1612 and any applicable Board of Health confidentiality regulations. The Contractor shall ensure that all of its employees and subcontractors performing services under this agreement understand the sensitive nature of the information that they may have access to and sign an affirmation of understanding regarding the information’s confidential and non- public nature.

  • Confidentiality Agreements has the meaning set forth in Section 5(d).

  • Authority's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Authority, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;
