Condition to Resignation and Termination. No such resignation or (subject to Clause 19.5) termination of the appointment of the Issuing and Principal Paying Agent, Registrar or Calculation Agent shall, however, take effect until a new Issuing and Principal Paying Agent (which shall be a bank or trust company) or, as the case may be, Registrar or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent or Transfer Agent shall take effect if there would not then be Paying Agents or Transfer Agents as required by the Conditions. If the Issuer fails to appoint a successor as requested by the Agreement and the Conditions by the tenth day before expiry of any notice given under Clause 19.2, then the relevant Agent may itself appoint as successor any reputable and experienced financial institution.
Condition to Resignation and Termination. No such resignation or (subject to Clause 18.6 (Automatic Termination)) termination of the appointment of the Issuing and Paying Agent, Registrar or Calculation Agent shall, however, take effect until a new Issuing and Paying Agent (which shall be a bank or trust company) or, as the case may be, Registrar or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent or Transfer Agent shall take effect if there would not then be Paying Agents or Transfer Agents as required by the Conditions.

No such resignation or (subject to Clause 15.5) termination of the appointment of the Fiscal Agent or Calculation Agent shall, however, take effect until a new Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent shall take effect if there would not then be a Paying Agent as required by the Conditions.
Condition to Resignation and Termination no such resignation or (subject to Clause 14.5) termination of the appointment of the Fiscal Agent or Calculation Agent shall, however, take effect until a replacement Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Fiscal Agent or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent shall take effect if there would not then be Paying Agents as required by the Conditions. If no replacement Agent has been appointed by the Issuer within 45 days of a notice of resignation being given by any Agent, then such Agent may, on behalf of the Issuer, appoint a replacement Agent against whom the Issuer does not have any reasonable objection with effect from a date on or after the date scheduled for the resignation of such Agent (and provided that the notice required by Clause 14.8 is given to Securityholders), so that upon such resignation there would be Agents as required by the Conditions and/or this Clause.

No resignation or (subject to sub-Clause 13.5) termination of the appointment of the Fiscal Agent or the Calculation Agent shall, however, take effect until a new Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Calculation Agent (which shall be a bank or trust company) has been appointed and no resignation or termination of the appointment of a Paying Agent shall take effect if there would not then be Paying Agents as required by the Conditions. If, 10 calendar days prior to the expiry of the notice of resignation or termination of appointment of the Agent, a successor Agent has not been appointed by the Issuer, the relevant Agent may appoint a successor Agent on behalf of the Issuer.

No such resignation or (subject to sub-Clause 21.5) termination of the appointment of the Issuing and Paying Agent, Registrar, the CMU Lodging Agent or Calculation Agent shall, however, take effect until a new Issuing and Paying Agent (which shall be a bank or trust company) or, as the case may be, Registrar or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent or Transfer Agent or CMU Lodging Agent shall take effect if there would not then be Paying Agents or Transfer Agents as required by the Conditions. The relevant Issuer agrees with the Issuing and Paying Agent and the Trustee that if, by the expiry of any notice under Clause 21.1, such Issuer has not appointed a successor Issuing and Paying Agent, then the Issuing and Paying Agent shall be entitled, on behalf of such Issuer, to appoint as a successor Issuing and Paying Agent in its place a reputable financial institution of good standing subject to the approval of the relevant Issuer and the Trustee.
Condition to Resignation and Termination. No such resignation or (subject to Clause 18.5) termination of the appointment of the Fiscal Agent, Registrar or Calculation Agent shall, however, take effect until a new Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Registrar or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent or Transfer Agent shall take effect if there would not then be Paying Agents or Transfer Agents as required by the Conditions. If the Issuers and the Guarantor fail to appoint a successor within ten days before the expiry of any notice given under Clause 18.1 and 18.2, then the Agent may on behalf of the Issuers and the Guarantors, appoint a successor that is a reputable and experienced financial institution of good standing subject to the prior approval in writing of the Relevant Issuer and the Guarantor (in the case of Guaranteed Notes).
Condition to Resignation and Termination no such resignation or (subject to Clause 18.5) termination of the appointment of the Fiscal Agent, the Principal Paying Agent, the Belgian Paying Agent, Registrar or Calculation Agent shall, however, take effect until a replacement Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Principal Paying Agent, the Belgian Paying Agent, Registrar or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent or Transfer Agent shall take effect if there would not then be Paying Agents or Transfer Agents as required by the Conditions. If no replacement Agent has been appointed by the Relevant Issuer within 45 days of a notice of resignation being given by any Agent, then such Agent may, on behalf of the Relevant Issuer, appoint a replacement Agent against whom neither the Relevant Issuer nor (in the case of EFI Notes ) the Guarantor has any reasonable objection with effect from a date on or after the date scheduled for the resignation of such Agent (and provided that the notice required by Clause 18.8 is given to Noteholders), so that upon such resignation there would be Agents as required by the Conditions and/or this Clause.

No such resignation or (subject to Clause 18.5) termination of the appointment of the Fiscal Agent, Registrar or Calculation Agent shall, however, take effect until a new Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Registrar or Calculation Agent has been appointed. If, by the date falling 10 days prior to the expiration of any notice given by an Agent pursuant to Clause 18.2 above, the Issuer has failed to appoint a new Agent, the relevant Agent may appoint its successor on the Issuer’s behalf following consultation with the Issuer as may be practicable.

No such resignation or (subject to Clause 18.5) termination of the appointment of the Fiscal Agent, Registrar or Calculation Agent shall, however, take effect until a new Fiscal Agent (which shall be a bank or trust company) or, as the case may be, Registrar or Calculation Agent has been appointed and no resignation or termination of the appointment of a Paying Agent or Transfer Agent shall take effect if there would not then be Paying Agents or Transfer Agents as required by the Conditions. If any Agent gives notice of its resignation or its appointment is terminated by the Issuer and/or the Guarantor and by the tenth calendar day before the expiration of such notice of resignation / termination a successor to such Agent as the agent of the Issuer in relation to the Notes has not been appointed by the Issuer, such Agent may itself, following such consultation with the Issuer as may be practicable in the circumstances, appoint on the Issuer’s behalf as its successor any reputable and experienced bank or financial institution and give notice of such appointment at the expense of the Issuer in accordance with the Conditions, whereupon the parties hereto and such successor agent shall thereafter have the same rights and obligations among them as would have been the case had they then entered into an agreement in the form mutatis mutandis of this Agreement.
