Condition Precedents definition

Condition Precedents shall have the meaning as set forth in Article 4.1.1; “CP Completion” means the fulfilment of all conditions precedent;
Condition Precedents means the condition precedents to be satisfied or waived pursuant to the Agreement and which Completion is subject and conditional upon
Condition Precedents means the conditions specified in Part 1 of Schedule 5.

  • For the avoidance of doubt any Works carried out before the Condition Precedents are satisfied in accordance with this Clause shall be at the Grant Recipient’s risk.

  • Condition Precedent means a policy term or condition upon which the Insurer's liability under the policy is conditional upon.

  • Condition Satisfaction Date shall have the meaning set forth in Section 7.2.

  • Environmental and Social Commitment Plan or “ESCP” means the environmental and social commitment plan for the Project, dated May 14, 2020, as the same may be amended from time to time in accordance with the provisions thereof, which sets out the material measures and actions that the Borrower shall carry out or cause to be carried out to address the potential environmental and social risks and impacts of the Project, including the timeframes of the actions and measures, institutional, staffing, training, monitoring and reporting arrangements, and any environmental and social instruments to be prepared thereunder.

  • Due Diligence Examination shall have the meaning set forth in Section 3.2.

  • Obstetric condition means a condition that is listed under Group T4 (Obstetrics) in the Medicare Benefits Schedule.

  • Medical condition means either of the following:

  • Specified Conditions means, at any time of determination thereof, (a) no Incremental Term Loans in the form of an institutional term loan B facility have been issued and are outstanding pursuant to Section 2.20 of the Credit Agreement and (b) (i) the Company’s “corporate credit rating” from S&P (or such other term as S&P may from time to time use to describe the Company’s senior unsecured non-credit enhanced long term indebtedness, such rating, the “S&P Rating”) shall be at least BBB- (with a stable outlook) and the Company’s “corporate family rating” from Xxxxx’x (or such other term as Xxxxx’x may from time to time use to describe the Company’s senior unsecured non-credit enhanced long term indebtedness, such rating, the “Xxxxx’x Rating”) shall be at least Baa3 (with a stable outlook) or (ii) (x) the Company’s S&P Rating shall be at least BBB- (with a stable outlook) or the Company’s Xxxxx’x Rating shall be at least Baa3 (with a stable outlook) and (y) the Leverage Ratio is less than or equal to 2.50 to 1.00.

  • Specified Condition means, with respect to a party, any event specified as such for that party in Paragraph 13.

  • We Are Committed To Your Satisfaction If you are not completely satisfied with XOOM’s Variable Rate plan for any reason, please contact us. If we are unable to resolve your concern to your full satisfaction, you may terminate this Contract, in accordance with its terms.

  • Satisfaction Date has the meaning set forth in Section 2.6.

  • Notice of Dissatisfaction means the notice given by either Party to the other indicating its dissatisfaction and intention to commence arbitration.

  • Condition of the Company means the Assets, business, results of operations and/or financial condition of the Company.

  • Qualifying medical condition means seizure disorder,

  • Conditional approval means a time-limited status that results when an approved nursing education program has failed to maintain requirements as set forth in this chapter.

  • Termination Conditions means, collectively, (a) the payment in full in cash of the Obligations (other than (i) contingent indemnification obligations not then due and (ii) Obligations under Secured Hedge Agreements and Secured Cash Management Agreements) and (b) the termination of the Commitments and the termination or expiration of all Letters of Credit under this Agreement (unless the Outstanding Amount of the L/C Obligations related thereto has been Cash Collateralized on terms reasonably acceptable to the applicable Issuing Bank, backstopped by a letter of credit reasonably satisfactory to the applicable Issuing Bank or deemed reissued under another agreement reasonably acceptable to the applicable Issuing Bank).
