Competitive Business Activities definition

Competitive Business Activities as used herein shall be deemed to mean the Business.

• If IQVIA exercises its right to discontinue payments under this provision and/or Executive returns all post-termination payments received pursuant to this Agreement, Executive shall remain obligated to abide by IQVIA Property and Competitive Business Activities provisions set forth in this Agreement.

• Executive acknowledges that the Executive's failure to abide by IQVIA Property or Competitive Business Activities provisions of this Agreement would cause irreparable harm to IQVIA and/or its Affiliates for which legal remedies would be inadequate.

• Any decisions relating to male to female trans gymnasts as outlined in 7.2 and 7.3 will be taken by the Executive Director for Sport, Integrity and Compliance Director and/or home country equivalent in conjunction with the British Gymnastics Chief Medical Officer.

• This Agreement shall terminate upon the termination of the employment relationship with the following exceptions: Section 6 (IQVIA Property and Competitive Business Activities), and Section 7 (Release) shall survive the termination of Executive's employment and/or the expiration or termination of this Agreement, regardless of the reasons for such expiration or termination.

• In the event Executive’s employment has been terminated pursuant to either Section 6(b) or Section 6(c) hereof, Executive agrees that, during the Restricted Period, Executive will not use or disclose any Proprietary Information of the Company for the Executive’s own purposes or for the benefit of any entity engaged in Competitive Business Activities.

Competitive Business Activities as used herein shall be deemed to mean the business of expedited transportation and third party logistics.

Competitive Business Activities provisions set forth in this Section 5 are reasonably necessary to protect the Company's legitimate business interests, are reasonable as to the time, territory and scope of activities which are restricted, do not interfere with public policy or public interest and are described with sufficient accuracy and definiteness to enable him to understand the scope of the restrictions imposed upon him.

Therefore, in addition to any other relief to which the Company may be entitled by virtue of Founder's failure to abide by these provisions, the Company may seek legal and equitable relief, including but not limited to preliminary and permanent injunctive relief, for Founder's actual or threatened failure to abide by these provisions.

Competitive Business Activities means (i) being employed by or acting as a paid consultant to, (ii) participating in the management of or (iii) controlling any Competitive Business. Competitive Business Activities shall not include (A) the Connecticut Fund Business or (B) the beneficial ownership by Prospector of any person that is directly or indirectly engaged in a Competitive Business so long as (i) Prospector beneficially owns 25% or less of the equity of such person or (ii) the Competitive Business Activities account for less than 25% of the consolidated annual revenues of such person.
