Competing Offer definition

Competing Offer means a Tender Offer for Units which (i) is Commenced prior to the expiration of the Offer by a Person that is not an Affiliate (or in the case of Waltxx Xxxeet, as to its Associates only) of any Partner and (ii) has a cash purchase price per Unit that is at least 2% (10% with respect to the first Competing Offer made following the Offer by the Partnership)
Competing Offer means any offer, proposal or expression of interest by any person other than the Offeror involving:
Competing Offer means a competing offer comprised by section 25(1) of the Danish Takeover Order.

Examples of Competing Offer in a sentence

  • This is not a Competing Offer in terms of Regulation 20 of the SEBI (SAST) Regulations.

  • Upon Borrower's delivery of the Notice of Competing Offer to Agent, Agent shall have five (5) business days to provide written confirmation of Agent's ability to provide a Loan to Borrower under equal or better Loan Terms than those indicated in the Competing Offers.

  • In the event that Agent does not provide written confirmation to Borrower within five (5) business days from receiving a Notice of Competing Offer, this shall be construed as Agent's inability to provide a Loan to Borrower under equal or better Loan Terms as those indicated in the Notice of Competing Offer, and Borrower shall be released from its obligations under this Agreement.

  • This is not a Competing Offer in terms of Regulation 20 of the Regulations.

  • If a Competing Offer is announced, this Deed shall remain in full force and effect during the period of 14 days after the date of such announcement and we shall not accept or vote or give any proxy in support of any such Competing Offer (or enter into any agreement or undertaking, whether conditional or otherwise, to do or procure the same) before the expiry of such period.

For the purpose of this definition, a Competing Offer will be deemed to be for substantially all of the assets, business and/or undertakings of SP if the relevant assets, business and/or undertakings in question constitute a “material amount” as defined in Note 2 to Rule 5 of the Code.
Competing Offer means an offer, or revision to an offer, by a third party (whether by means of a Takeover Offer or by way of a Scheme) for the ordinary shares in the Target, the value of the consideration per ordinary share available under which at the time it is made or, if earlier, publicly announced exceeds the Offer Price;
