Competing Company definition

Competing Company means another semiconductor capital equipment company, partnership, limited liability corporation or other entity any portion of whose business, including, without limitation, development, manufacturing, marketing, sales or technical or sales support, competes with the Company's business at that time.

• Speaker agrees that he/she is also prohibited from, directly or indirectly, using Proprietary and Confidential Information to offer or promote any non-Market America products or business opportunities to UnFranchise Owners or customers regardless of whether such business opportunities or products relate to a Competing Company.

• Thus, due to the sensitive information received as a Speakers Bureau Member, during the term of this Agreement, Speaker may not solicit, directly or indirectly (including but not limited to the use of websites and social media), or through a third party, another UnFranchise Owner or customer to enroll or participate in a Competing Company, whether or not the UnFranchise Owner or customer was personally sponsored by Speaker.

• In light of the sensitivity of this position, Speaker agrees that for so long as he/she remains a Speaker, he/she will not, directly or indirectly; act as a distributor or advisor, or in any other capacity on behalf of, a Competing Company.

• Due to the sensitive information received by Speaker, Speaker is prohibited from, directly or indirectly, acting in any capacity on behalf of a Competing Company during the term of the Agreement.

More Definitions of Competing Company

Competing Company means a Person that is directly or indirectly engaged in the business of providing downloading or online video services, or downloading, online video and storage services provided through cloud technology, and is not an Affiliate of any Group Company, and for the avoidance of doubt, a Person shall not be deemed a Competing Company solely because it is engaged in the business of content resale services or provision of online game services. For purposes of this Agreement, a “Person” means an individual, firm, corporation, partnership, trust, incorporated or unincorporated association, joint venture, joint stock company, limited liability company, or other entity of any kind. For purposes of this Agreement, the “Information Rights” means the rights set forth in this paragraph and the rights set forth in subsections (a), (b) and (c) of this Section 1.1.

Competing Company means any person or entity, which provides products or services that compete with or are substantially similar to those provided by the Company or any of its Subsidiaries or which is otherwise engaged in or preparing to engage in any business, or part thereof, that competes with any business conducted by the Company or any of its Subsidiaries, at any time during Participant’s Service or which the Company or any of its Subsidiaries has taken material steps toward conducting at the time Participant’s Service is terminated, excluding any business or division thereof in which Participant had no duties or responsibilities and about which Participant acquired no Confidential Information during his Service.

Competing Company means any Person that engages, directly or indirectly, in (i) any lines of business that the Company is engaged in as of the date hereof, or (ii) any lines of business that are related to, connected with, or reasonable extensions of such lines of business.

Competing Company means any Entity that is providing services or products that directly compete with or are directly substitutable for those offered by the Company;
