Compensation and Benefit Plans definition

Compensation and Benefit Plans has the meaning set forth in Section 5.03(m).
Compensation and Benefit Plans means bonus, deferred compensation, pension, retirement, profit-sharing, thrift, savings, employee stock ownership, stock bonus, stock purchase, deferred and restricted stock, stock option, employment, termination, severance, compensation, medical, health or other plans, agreements, policies or arrangements maintained by or contributed to by the Selling Companies that cover Prospective Employees.
Compensation and Benefit Plans shall have the meaning set forth in Section 3.16(a).

Examples of Compensation and Benefit Plans in a sentence

  • For purposes of this Section 4.11, Compensation and Benefit Plans maintained by CorpBanca or Itaú Chile are deemed to include Compensation and Benefit Plans maintained by their respective Subsidiaries.

  • As soon as practicable following the Chilean Effective Time, CorpBanca shall review, evaluate and analyze Itaú Chile Plans with a view towards developing appropriate and effective Compensation and Benefit Plans for the benefit of employees of CorpBanca and its Subsidiaries on a going forward basis that does not discriminate between Itaú Chile Continuing Employees and CorpBanca Continuing Employees (together, the “Continuing Employees”).

More Definitions of Compensation and Benefit Plans

Compensation and Benefit Plans has the meaning assigned to such term in Section 4.1(Q)(1).
Compensation and Benefit Plans means all employment policies, and all compensation and benefit plans, policies, and programs of the Debtors applicable to their employees, retirees (other than policies, programs and plans with respect to "retiree benefits," as that term is defined in Section 1114(a) of the Bankruptcy Code) and non-employee directors, including, without limitation, all savings plans, retirement plans, health care plans, disability plans, severance benefit plans, incentive plans, and life, accidental death, and dismemberment insurance.
Compensation and Benefit Plans means, collectively, each written bonus, deferred compensation, pension, retirement, profit-sharing, thrift, savings, employee stock ownership, stock bonus, stock purchase, restricted stock, stock option, employment, termination, severance, compensation, medical, health, or other plan, agreement, policy, arrangement or program, that covers current or former employees, officers, directors, agents or independent contractors of the Company or any of its subsidiaries, or pursuant to which current or former employees, officers, directors, agents or independent contractors of the Company or any of its subsidiaries are entitled to current or future benefits. There are no oral Compensation and Benefit Plans. The Company has listed on Section 3.11(a) of the Company Disclosure Schedule, and has made available to Parent copies of, all "employee pension benefit plans" (as defined in Section 3(2) of the Employee Retirement Income Security Act of 1974, as amended ("ERISA")) (sometimes referred to herein as "Pension Plans"), "employee welfare benefit plans" (as defined in Section 3(l) of ERISA) and all other Compensation and Benefit Plans maintained, or contributed to, by the Company or any person or entity that, together with the Company, is treated as a single employer under Section 414(b), (c), (m) or (o) of the Code (the Company and each such other person or entity, a "Commonly Controlled Entity") for the benefit of any current or former employees, officers or directors of the Company or any of its subsidiaries. With respect to each Compensation and Benefit Plan, the Company has also provided to Parent, complete and correct copies of (1) the most recent determination letter (or opinion letter, if entitled to rely on such letter) from the Internal Revenue Service, (2) the last three annual reports on Form 5500 filed with the Internal Revenue Service (if any such report was required), (3) the most recent summary plan description and (4) each trust agreement and group annuity contract related thereto.
Compensation and Benefit Plans has the meaning given to that term in Section 3.12 of this Agreement.
Compensation and Benefit Plans has, with respect to any person, the meaning assigned in Section 5.03(p)(i).
Compensation and Benefit Plans means all salary, bonus, vacation, overtime, incentive, retention, profit sharing (ex gratia or otherwise), medical, termination and stock or share option agreements, plans, benefits, programmes and/or similar grants, allowances and all similar plans, policies, arrangements and agreements, but excluding any such plans, policies, arrangements or agreements providing Pension Benefits.
