Compensable Costs definition

Compensable Costs means reasonable and necessary, attorney's fees, expert fees, and other expenses incurred in support of Licensing Activities including those required to answer and prosecute any reexamination proceedings and Litigation Costs. Any such Compensable Costs shall be no higher than such costs would be on the open market. Assignee shall pay any maintenance fees due on The Patents, however, such maintenance fees shall be considered Compensable Costs.
Compensable Costs means the Expenses plus any Inter Partes Review Expenses. For the avoidance of doubt, Claim Owner and Claim Owner’s Attorneys have agreed to a cap on the amount of Compensable Costs for which LCF’s Committed Amount may be used of ● (the “Compensable Cost Cap”), with any overage being the responsibility of Claim Owner or Claim Owner’s Attorneys.

Examples of Compensable Costs in a sentence

  • Overhead and general and administrative burden rates included in Compensable Costs are negotiated rates and shall not be subject to review or audit.

  • If the Dispute is ultimately resolved in Owner's favor, Contractor shall repay to Owner the Compensable Costs or such portion thereof based on the resolution of the Dispute.

  • LCF reserves the right not to pay any Compensable Costs that it deems commercially unreasonable.

  • Claim Owner is required to submit monthly billing records to LCF detailing the Compensable Costs for which reimbursement is sought, which shall be provided by Claim Owner’s Attorneys after redaction of privileged information.

  • Unless otherwise set forth herein or agreed by the Parties, adjustments to the Contract Amount shall be based on Contractor's Compensable Costs, plus profit thereon at the rate of twelve percent (12%).

  • Pending the resolution of such Dispute, Contractor will comply with the written direction of Owner and Owner shall pay Contractor its Compensable Costs incurred as a result of complying with Owner's direction plus profit thereon at the rate of ten percent (10%) and an equitable adjustment in the Guaranteed Commercial Operation Date.

  • In the event of such transfer back to Assignor, Assignee shall not be entitled to recover any monies, including but not limited to any fronting or advance of Compensable Costs, and shall waive any claim it may have against Seller, its directors or members.

Related to Compensable Costs

  • Company Reimbursable Costs means the actual costs and expenses incurred by Company and/or its Affiliates in connection with performance of the Company Work or otherwise incurred by Company and/or its Affiliates in connection with this Agreement, and including, without limitation, any such costs that may have been incurred by Company and/or its Affiliates in connection with the Company Work or this Agreement prior to the Effective Date. These Company Reimbursable Costs shall include, without limitation, the actual expenses for labor (including, without limitation, internal labor), services, materials, subcontracts, equipment or other expenses incurred in the execution of the Company Work, all applicable overhead, overtime costs, all federal, state and local taxes incurred (including, without limitation, all taxes arising from amounts paid to Company that are deemed to be contributions in aid of construction), all costs of outside experts, consultants, counsel and contractors, all other third-party fees and costs, and all costs of obtaining any required permits, rights, consents, releases, approvals, or authorizations acquired by or on behalf of Company, including, without limitation, the Required Approvals.

  • Reimbursable Costs means expenses incurred by the employee in the course of engaging in the planned learning activity and include registration, tuition and examination fees as well as textbooks/discs and applicable taxes. They may also include reasonable, incremental meal, accommodation and travel expenses.

  • Reasonable Costs means the reasonable actual costs and expenses incurred by us in carrying out any further Audit under this Contract, including, but not limited to, reasonable travel and subsistence costs;

  • Allocable Costs means costs allocable to a particular cost objective if the goods or services involved are chargeable or assignable to such cost objective in accordance with relative benefits received or other equitable relationship.   • Allowable Costs means the costs defined as allowable in 42 CFR, Chapter IV, Part 413, as amended to October 1, 2007, except for the purposes of calculating direct medical education costs, where only the reported costs of the interns and residents are allowed. Further, costs are allowable only to the extent that they relate to patient care; are reasonable, ordinary, and necessary; and are not in excess of what a prudent and cost-conscious buyer would pay for the given service or item.

  • Direct Costs means the sum of the following:

  • Controllable Expenses means all expenses, other than Uncontrollable Expenses, incurred by the Company or any Subsidiary of the Company with respect to the Property.

  • Estimated Costs means costs estimated by the Authority as likely to be:

  • Routine Patient Costs means all health care services that are otherwise covered under the Group Contract for the treatment of cancer or other Life-threatening Condition that is typically covered for a patient who is not enrolled in an Approved Clinical Trial.

  • Indirect Costs has the same meaning as in 44 Ill. Admin. Code 7000.30.

  • Emergency Expenditures means any of the eligible expenditures set forth in the CERC Manual referred to in Section I.F of Schedule 2 to this Agreement and required for the Contingent Emergency Response Part.

  • Medical Expenses means those expenses that an Insured Person has necessarily and actually incurred for medical treatment on account of Illness or Accident on the advice of a Medical Practitioner, as long as these are no more than would have been payable if the Insured Person had not been insured and no more than other hospitals or doctors in the same locality would have charged for the same medical treatment.

  • Reasonable cost means a cost for a service or item that is consistent with the market standards for comparable services or items.

  • Operating Costs means the incremental expenses incurred by the Recipient on account of Project implementation, management, and monitoring, including for office space rental, utilities, and supplies, bank charges, communications, vehicle operation, maintenance, and insurance, building and equipment maintenance, advertising expenses, travel and supervision, salaries of contractual and temporary staff, but excluding salaries, fees, honoraria, and bonuses of members of the Recipient’s civil service.

  • avoidable costs means those costs which would not be incurred by the Licensee if he did not supply the consumers in question, including (but with due regard to the timing thereof all relevant future outlays affected by the decision to supply; and"terms"means all the terms on which a supply of gasis provided or offered, whether as respects charges, methods of payment or otherwise.

  • Service Costs has the meaning ascribed thereto in Section 3.01.

  • Controllable Operating Expenses means all Operating Expenses except real property taxes, all forms of insurance, utility expenses, costs of services provided under a union contract, payments under CC&R’s or to an owners’ association and costs associated with repairs due to casualty, vandalism or other source outside of Landlord’s reasonable control.

  • Unallowable Costs has the same meaning as in 44 Ill. Admin. Code Part 7000.

  • Ineligible Costs means the costs described under Part E.2 of Schedule “E” of this Agreement.

  • O&M Expenses means expenses incurred by or on behalf of the Developer or by the Authority, as the case may be, for all O&M including (a) cost of salaries and other compensation to employees, (b) cost of materials, supplies, utilities and other services, (c) insurance premium, (d) all taxes, duties, cess and fees due and payable for O&M, (e) all repair, replacement, reconstruction, reinstatement, improvement and maintenance costs, (f) payments required to be made under the O&M Contract, or any other contract in connection with or incidental to O&M, and (g) all other expenditure required to be incurred under Applicable Laws, Applicable Permits or this Agreement.

  • Soft Costs means the costs of professional work and fees, interim costs, financing fees and expenses, syndication costs, soft costs and Developer’s fees as shown in the Applicant’s properly completed UniApp, Section C - Uses of Funds. Soft Costs do not include operating or replacement reserves.
