Company Works definition

Company Works shall have the meaning set forth in Section 10.2(b) hereof.
Company Works means all Works authored, originated, conceived, written or made by the Executive alone or with others (except only those Works which are authored, originated, conceived, written or made by the Executive wholly outside the course of his employment).
Company Works means any and all inventions, discoveries, innovations, improvements, software, designs, mask works, works of authorship or other creations of any kind conceived, identified, discovered or created by the Executive (a) during the term of employment, either alone or in collaboration with any other person inside or outside the Company that is related to the Business or (b) with Company resources, in each case including, without limitation, (w) all intangible and intellectual property rights embodied therein; (x) all rights of privacy, performance rights, rights of publicity, rights of attribution and integrity, and other moral rights embodied therein or associated therewith; (y) all rights of priority thereto; and (z) all rights to apply for statutory protection thereof and to sue for relief of infringement thereof.

Examples of Company Works in a sentence

  • Adjoining Land Land, owned by a person other than the Developer or the Owner of the Site, not being an adopted highway, where part of the Water Company Works or Self-Lay Works are to be undertaken which adjoins the Site, as shown on the SLP Accepted Design or the Water Company Design.

  • Land Rights Rights, free from Encumbrances in, under or over land for the construction, installation, operation, repair, inspection, maintenance, renewal or use of the Self-Lay Works and/or the Water Company Works or for access to them.

More Definitions of Company Works

Company Works means all works authored, originated, conceived, written or made by the Executive alone or with others including documents, records, databases, designs, innovations, inventions, improvements, processes, trademarks and trade names (except only those works which are legally authored, originated, conceived, written or made by the Executive wholly outside the course of his employment).
Company Works means, collectively, all Catalog Masters, Audiovisual Works, Recording Artwork, and Material.

Company Works everything that has been, is being or will be in the future made, developed, created or otherwise delivered by the Author (including all intermediate stages, renewals and extensions) in the course of its relationship with the Company. TRANSFER OF INTELLECTUAL PROPERTY RIGHTS Author hereby irrevocably, exclusively, unconditionally and to the maximum extent possible under applicable law transfers to the Company, free from all encumbrances and third party rights, all Intellectual Property Rights with respect to Company Works (hereinafter “Rights”). The Author hereby agree that all such Rights are deemed automatically transferred to the Company as of the moment of their creation without any separate consideration or remuneration payable and for the whole period of validity of the respective Rights. Author hereby warrants that he/she shall not register or attempt to register any Rights created for the Company or used by the Company. If and to the extent it is impossible as a matter of law to transfer ownership to the Rights from the Author to the Company (including but not limited to the moral rights of the Author as defined in the applicable copyright laws), the Author hereby grants to the Company to the maximum extent possible under applicable law an ex­clusive (excluding also the Author), perpetual, irrevocable, transferable, sub-licensable, fully paid-up, world-wide, unconditional and unlimited right (license) to use, exploit and exercise such Rights for the whole period of their validity in any manner now known or in the future discovered. In order to ensure that the Company will be able to acquire, perfect, protect, use and exercise the Rights assigned or licensed to it under the above provisions the Author shall: transfer possession and ownership to media, models, and other tangible objects containing Company Works to the Company, including delivery of a complete copy of the source code for any software, documented in sufficient detail to enable a reasonably skilled programmer to correct, integrate and modify it; provide the Company with support and reasonable access to information for recording, perfecting, securing, defending, and enforcing such rights in any and all countries, including (without limitation) in case the validity of any Rights is challenged.
