Company Stockholder Meeting definition

Company Stockholder Meeting means the meeting of the holders of shares of Company Common Stock for the purpose of seeking the Company Stockholder Approval, including any postponement or adjournment thereof.

Company Stockholder Meeting has the meaning set forth in Section 7.1(a).

• The Company shall duly call, establish a record date for, give notice of and hold a meeting of its stockholders (the “ Company Stockholder Meeting ”) as soon as reasonably practicable after the Registration Statement is declared effective under the Securities Act for the purpose of voting on the adoption of this Agreement.

• Parent shall vote all shares of Company Common Stock beneficially owned by it or any of its Subsidiaries in favor of adoption of this Agreement at the Company Stockholder Meeting.
