Company SEC Filings. Section 3.7.1

Company SEC Filings shall have the meaning set forth in Section 4.07(a).

• To the Knowledge of such Seller, there are no transactions that have occurred since January 1, 2011 that are required to be disclosed in the Company SEC Filings pursuant to Item 404 of Regulation S-K that have not been disclosed in the Company SEC Filings.

• Except as Disclosed in the Company SEC Filings, there are no agreements concerning any Group Member that can be 2-19 terminated or that have been terminated or under which the rights of any Person are liable to be materially adversely affected as a result of a change in control of any Group Member or in the composition of the board of directors of a Group Member.

• Other than the Transaction Documents, and as Disclosed in the Company SEC Filings and those Contracts copies of which are attached to the Disclosure Letter, no Group Member is a party to, or bound by as of the date such representation is being made, any Material Contract (as defined below).

More Definitions of Company SEC Filings

Company SEC Filings means the documents filed from time to time with the SEC.

Company SEC Filings has the meaning set forth in Section 5.4.1 of the Agreement.

Company SEC Filings has the meaning assigned in Section 5.3(j)(1).

Company SEC Filings means reports, registration statements and other documents filed by the Company with the SEC from March 16, 2006 to the date of this Agreement that are publicly available by means of the SEC’s EDGAR database.

Company SEC Filings means all SEC filings of forms, reports and documents made by the Company since September 30, 2001 including all exhibits thereto (whether actually filed with such filings or incorporated by reference therein) such Company SEC Filings.

Company SEC Filings means (i) the Company’s annual report on Form 10-K for its fiscal year ended December 31, 2002, (ii) its quarterly reports on Form 10-Q for its fiscal quarters ended March 31, 2003 and June 30, 2003 (iii) its proxy statement relating to a meeting of the shareholders of the Company held on September 25, 2003, and (iv) all of its other reports, statements, schedules and registration statements filed with the SEC since October 9, 2002 other than the Company Proxy Statement.
