Examples of Company RSUs in a sentence
The Stockholder agrees to promptly, and in no event later than within two (2) Business Days, notify Parent of any acquisition of Subject Shares (including from the exercise or settlement, as applicable, of Company Options, Company Warrants, Company RSUs and Company PSUs) and the number of such Subject Shares.
This Agreement shall apply to the Stockholder solely in the Stockholder’s capacity as a stockholder of the Company and/or holder of Company Options or Company RSUs and not in the Stockholder’s capacity as a director, officer or employee of the Company or in the Stockholder’s capacity as a trustee or fiduciary of any employee benefit plan or trust.
From the close of business on the Capitalization Date through the date hereof, the Company has not issued any shares of Company Common Stock, except upon the exercise of Company Options and Company Warrants or the settlement of Company RSUs or Company PSUs, in each case outstanding as of the close of business on the Capitalization Date and included in Section 4.3(b) of the Company Disclosure Schedule.
As of the Capitalization Date, there were outstanding the following Company Equity Awards: (i) Company Options to acquire 697,402 shares of Company Common Stock having a weighted average exercise price of $2.89 per share, (ii) Company RSUs in respect of 11,970,323 shares of Company Common Stock, and (iii) Company PSUs in respect of 542,206 shares of Company Common Stock (assuming achievement of the target level of performance at the end of the applicable performance period).
