Company Revenues definition

Company Revenues has the meaning set forth in Section 3.1.
Company Revenues means all receipts from operations and use of assets received by the Company and all other income, receipts, or gain received by the Company in the course of the conduct of its business.
Company Revenues means all revenue collected by the Corporation and its Subsidiaries, including from the sale of or services related to CorPath Systems and CorPath Cassettes, other than any one-time license or similar fees.

Company Revenues means, for any period, all revenues received by the Companies from all sources whatsoever other than from dividends or distributions, or repayments of Indebtedness and other obligations, received from Subsidiaries.

Company Revenues means the actual invoiced sales recorded on a consolidated basis as revenues by Parent, its subsidiaries, or the Surviving Corporation under Parent’s normal accounting policies consistently applied within and across its operating units, from the sale to third parties, not affiliated with Parent, of Company Services, net of any royalty paid to any third party, and less the following, as applicable: refunds, discounts, credits, promotional offerings, insurance, sales and use Taxes, customs duties, and any other governmental Tax or charge (except income Taxes) imposed on or at the time of the production, importation, use, or sale of the Company Services, including any value added Taxes (VAT), as adjusted for rebates and refunds. For conversion of foreign currency to U.S. dollars with respect to sales of Company Services in a foreign currency, the conversion method and rate shall be the conversion method and rate used by Parent to convert the applicable sales into U.S. dollars for purposes of the preparation of Parent’s financial statements, such conversion to be calculated in accordance with GAAP, applied consistently. The Parties acknowledge and agree that Parent and its subsidiaries (other than the Surviving Corporation) currently offer, and will continue to offer during the Measurement Period, services that are similar to those set forth on Exhibit F. Such services offered by Parent and its subsidiaries (other than the Surviving Corporation) shall not be considered Company Services for the purposes of determining Company Revenues pursuant to this Section 2.9;
