Company Required Approval definition

Company Required Approval means the approval of not less than two-thirds of the Company Shareholders, voting together as a single class, present in person or by proxy at the Company Meeting.
Company Required Approval means the approval of (i) the Company Shareholders by way of resolution passed by Company Shareholders representing at least two-thirds of the votes cast by Company Shareholders, in person or by proxy at the Company Shareholders Meeting and, (ii) the Company Shareholders and the holders of Company Options by way of resolution passed by Company Shareholders and holders of Company Options representing at least two-thirds of the votes cast by Company Shareholders and holders of Company Options, voting together as a single class, in person or by proxy at the Company Shareholders Meeting.
Company Required Approval means the approval and adoption of this Agreement and the transactions contemplated hereby in accordance with the Company’s Governing Documents and the Stockholder Agreements, including the approval by the holders of a majority of the then outstanding shares of Company Voting Common Stock.

Company Required Approval has the meaning set forth in Section 3.1.
Company Required Approval means the approval and adoption of this Agreement and the transactions contemplated hereby in accordance with the Company’s Governing Documents and the Stockholder Agreements, including the approval by the holders of (a) a majority of the then-outstanding capital stock of the Company, (b) a majority of the Series C Preferred Stock of the Company, voting exclusively and as a separate class, (c) a majority of the Company Preferred Stock, voting exclusively and as a separate class, and (d) at least two of the three of the following parties: (i) Norwest Venture Partners XIII, LP and its Affiliates, (ii) Canaan X LP and its Affiliates and (iii) Accel Growth Fund IV L.P. and its Affiliates.
Company Required Approval means, unless varied by the Interim Order, approval by the affirmative vote of the holders of (a) at least a majority of the Company Class A Common Shares and Company Class A Preferred Shares, present in person or represented by proxy and entitled to vote at the Company Shareholders Meeting, voting as a single class on an as-converted to Company Class A Common Shares basis, pursuant to the terms and subject to the conditions set forth in the Company Governing Documents and applicable Law and (b) at least 66 2/3% of the votes cast at the Company Shareholders Meeting by the holders of the Company Class A Common Shares and Company Class A Preferred Shares, present in person or represented by proxy and entitled to vote at the Company Shareholders Meeting, voting as a single class (with the Company Class A Preferred Shares voting on an as-converted to Company Class A Common Shares basis), pursuant to the terms and subject to the conditions of the Plan of Arrangement, applicable Law and the Company Governing Documents.

Company Required Approval means (a) approval by the affirmative vote of the holders of at least sixty-six and two-thirds percent (66 2/3%) of the votes cast at the Company Shareholders Meeting by the holders of the Company Shares, present in person or represented by proxy, voting as a single class, pursuant to the terms and subject to applicable Law and the Company’s Governing Documents, provided that at least two (2) individuals are present representing at least ten percent (10%) of the Company Shares in person or by proxy at any such Company Shareholders Meeting; (b) approval by the affirmative vote of the holders, voting as a separate class, of at least fifty percent (50%) of the votes cast at the Company Shareholders Meeting by the holders of the Company Shares, present in person or represented by proxy other than interested parties set forth on Section 1.1 of the Company Disclosure Schedules (as “interested parties” is defined in Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions) to the Arrangement (including a related party thereto or a joint actor therewith), subject to applicable Law and the Company’s Governing Documents; (c) approval by the affirmative vote of the holders, voting as a single class, of at least sixty-six and two-thirds percent (66 2/3%) of the votes cast at the Company Shareholders Meeting by the holders of Company Warrants and Company Options, present in person or represented by proxy, subject to applicable Law and the Company’s Governing Documents, and (d) any approval requirements as may be imposed by the Court.
Company Required Approval means the approvals of not less than two-thirds of the votes cast by each of (i) the Company Shareholders and (ii) the Company Shareholders together with holders of Other Arranged Securities, voting together as a single class, determined on an as-converted to Company Share basis (including, for the avoidance of doubt, the number of Company Shares issuable upon the exercise of the Other Arranged Securities, in each case, based on the then applicable exercise price), in each case, present in person or by proxy at the Company Meeting.
