Company Related Party definition

Company Related Party has the meaning set forth in Section 3.19.

Company Related Party means the Company, its Subsidiaries and its affiliates and its and their respective affiliates’ stockholders, partners, members, officers, directors, employees, controlling persons, agents and representatives.

Company Related Party means the Company and its Subsidiaries and any of their respective former, current and future officers, employees, directors, partners, shareholders, management members or Affiliates (excluding any Parent Related Party).

Examples of Company Related Party in a sentence

• Nothing contained herein shall affect any rights that the Company or any Company Related Party might have against third parties.

• A Shareholder shall only enter into a transaction with a Group Company ("Related Party Transaction") in the ordinary course of business, at terms that are at Arms' Length, unless (i) each of the Shareholders approves the Related Party Transaction, or (ii) the Related Party Transaction is not in excess of EUR one million (1,000,000 euro) annual spend on an individual basis.

• Nothing contained herein shall affect any rights that the Company or any Company Related Party might have against thirdparties.

• You also acknowledge and agree that the protections afforded to the Company under this Agreement apply to each of the Company Related Parties, including, without limitation, as set forth in those sections entitled “Limitation of Liability”, “Insurance” and “Your Indemnity/Protection of Company” and each such Company Related Party may independently enforce such rights.

• Each Company Related Party is a direct and intended third party beneficiary of this Agreement and may enforce any part of this Agreement against you to the extent that the interests of the Company Related Party are affected.

More Definitions of Company Related Party

Company Related Party means any past, present or future director, officer, employee, incorporator, member, manager, general or limited partner, stockholder, Affiliate, agent, attorney or other Representative of the Company, and any its Affiliates (including any person negotiating or executing this Agreement on behalf of the Company).

Company Related Party has the meaning specified in Section 4.22.

Company Related Party means the Company, any holder of Company Common Stock and each of their respective Affiliates and their and their respective Affiliates’ Representatives.

Company Related Party means (a) any manager, officer, director, employee, independent contractor and/or consultant of the Company or any Company Subsidiary, (b) (i) any Member or holder of equity interests of the Company or any Company Subsidiary, (ii) any Affiliate or any manager, officer, director, employee, independent contractor and/or consultant of any Member or holder of equity interests of the Company or any Company Subsidiary or (iii) any manager, officer, director, employee, independent contractor and/or consultant of any Affiliate of a Member or holder of equity interests of the Company or any Company Subsidiary, and (c) any Immediate Family Member of any Person specified in clause (a).
