Company Product definition

Company Product means any product or service designed, developed, manufactured, marketed, distributed, provided, licensed, or sold at any time by the Company.

Company Product means all products that are being researched, tested, developed, commercialized, manufactured, sold or distributed by the Company or any Company Subsidiary and all products with respect to which the Company or any Company Subsidiary has royalty rights.

Company Product means any product or service of the Company or any of its Subsidiaries currently being marketed, sold or licensed by the Company or any of its Subsidiaries.

• No Company Product or Company Intellectual Property is subject to any proceeding or outstanding decree, order, judgment or settlement agreement or stipulation that restricts in any manner the use, provision, transfer, assignment or licensing thereof by the Company or may affect the validity, registrability, use or enforceability of the Company Product or Company Intellectual Property.

• The Company has not received written notice from any Person claiming that such operation or any act, any Company Product, Company Software, any Technology used by the Company, or any Company Intellectual Property Infringes any Intellectual Property Rights of any Person (nor does the Company have Knowledge of anything that to the Company’s Knowledge constitutes any basis therefor).

• Each of the Company, on the one hand, and Parent, on the other hand, shall promptly notify such other Party of any material data relating to any Company Product or Parent Product as the case may be, including information related to any serious or unexpected adverse events (as such concepts are contemplated under applicable Health Care Laws) with respect to any Company Product or Parent Product as the case may be, in each case which it discovers after the execution and delivery of this Agreement.

• The Company has not incorporated any Open Source Software into any Company Software or any Company Product in a manner that would require the Company to make Company Software or any Company Product available pursuant to the terms of an open source license.

• There are no, and in the last four (4) years there have been no, claims or threatened claims (orally or in writing) against the Company relating to any work performed or products provided by the Company, product liability, warranty or other similar claims against the Company alleging that any Company Product (or any component or other part or device incorporated or included therein) is defective or fails to meet any product or service warranties.

More Definitions of Company Product

Company Product means each product candidate that is being researched, tested, developed or manufactured by or on behalf of the Group Companies.

Company Product means any medical device, goods, products, product lines or services (i) that during the last one (1) year in which Employee was employed by the Company, Employee, or persons under Employee’s management, direction or supervision, performed research regarding, designed, developed, produced, manufactured, marketed, promoted, sold, solicited sales of, supported or serviced on behalf of the Company, or (ii) with respect to which Employee at any time received or otherwise obtained or learned Confidential Information.

Company Product means any project-based business management and/or sales management software and/or other product that, as of the date the Optionee’s employment Terminates, the Company or any of its Affiliates is developing, implementing, marketing and/or selling.

Company Product means any project-based business management and/or sales management software and/or other product that, on the date hereof, the Company or any of its affiliates is developing, implementing, marketing and/or selling, or has plans to do so.

Company Product means (a) any product, service or other asset (whether physical or digital) designed, developed, manufactured, assembled, distributed, sold, licensed or otherwise made commercially available to third parties by any of the Group Companies, (b) any product, service or other asset under development by any Group Company as of the Closing Date, or (c) any services hosted, provided or made accessible by any Group Company to third parties, including software as a service, professional services and maintenance and support.

Company Product means each product or product candidate that is being researched, tested, developed, commercialized, manufactured, sold or distributed by or on behalf of the Company or any of its Subsidiaries.

Company Product means any product or service: (a) developed, manufactured, marketed, distributed, provided, leased, licensed or sold, directly or indirectly, by or on behalf of any Company Entity; or (b) currently under development by or for any Company Entity (whether or not in collaboration with another Person).
