Examples of Company Permits in a sentence
Neither the Company nor any of its Subsidiaries is in conflict with, or in default or violation of, any of the Company Permits, except for any such conflicts, defaults or violations which, individually or in the aggregate, would not reasonably be expected to have a Material Adverse Effect.
The Company and each of its Subsidiaries is in possession of all franchises, grants, authorizations, licenses, permits, easements, variances, exemptions, consents, certificates, approvals and orders necessary to own, lease and operate its properties and to carry on its business as it is now being conducted (collectively, the “Company Permits”), and there is no action pending or, to the knowledge of the Company, threatened regarding suspension or cancellation of any of the Company Permits.
All of such material Company Permits are set forth on Schedule 4.8 and are valid, in good standing, and in full force and effect and the Company has duly performed in all material respects all of its obligations under such Company Permits, except where the failure to be valid, in good standing, and in full force and effect or the Company’s failure to perform such obligations would not reasonably be expected to have, individually or in the aggregate, a Company Material Adverse Effect.
None of the Company Permits is subject to any proceeding for revocation or modification and no approval or consent of any Person is needed in order that the Company Permits continue in full force and effect following the consummation of the transactions contemplated hereby.
As of the date hereof, no suspension or cancellation of any of the Company Permits is pending or, to the Knowledge of Company, threatened.
