As of the date of this Agreement, there were (i) 71,650,447 Company Shares issued and outstanding; (ii) an aggregate of up to 6,702,500 Company Shares are issuable upon the exercise of 6,702,500 Company Options; and (iii) up to 10,719,358 Company Shares are issuable upon the exercise of 10,719,358 Company Warrants.
The number of Buyer Shares, to be issued to any person pursuant to this Plan of Arrangement (including pursuant to any exercise of Company Warrants or Company Options in accordance with Section 4.01 or Section 4.02, respectively) shall, without additional compensation, be rounded down to the nearest whole Buyer Share.

More Definitions of Company Options

Company Options means options to purchase shares of Company Common Stock from the Company (whether granted by the Company pursuant to the Company Equity Plan, assumed by the Company in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested).

Company Options means any options to purchase shares of Company Common Stock outstanding under any of the Company Stock Plans.

Company Options means all issued and outstanding options (whether or not vested) to purchase or otherwise acquire shares of Company Capital Stock.

Company Options means all options to purchase Company Common Stock, whether or not exercisable and whether or not vested, that are outstanding immediately prior to the Closing granted under the Company Equity Incentive Plan (or otherwise), excluding, for the avoidance of doubt, the Company Warrants and the Company RSUs.

Company Options means options or other rights to purchase shares of Company Capital Stock issued by the Company.

Company Options shall have the meaning set forth in Section 3.2(a).
