Company Incentive Plan definition

Company Incentive Plan shall have the meaning assigned to it in Section 1.7 hereof.

Company Incentive Plan means the 2020 Management Incentive Plan of the Company, in the form attached hereto as Exhibit C, as the same may be amended, restated, modified or supplemented from time to time.

Company Incentive Plan means any equity or omnibus incentive plan adopted by the Company or assumed by the Company in connection with the initial Business Combination or any other acquisition or business combination involving the Company, or any other compensatory equity-based award or inducement award.

• Company has delivered to Parent true and complete copies of the Company Incentive Plan and the forms of all instruments setting forth the rights of Company securities as of the date hereof.

• All Company Stock Options have been validly granted and have been approved by the Company’s board of directors or a duly authorized committee of the board of directors in accordance with the terms and conditions of the Company Incentive Plan.

• The Company’s board of directors shall have granted the Committed Company Stock Options under the Company Incentive Plan in the form of nonqualified stock options with a per share exercise price at least equal to the Consideration per Share.

• In addition, Company’s Chief Executive Officer has agreed to designate Employee as a Participant pursuant to Section 2.1(iii) of the Company Incentive Plan created by Company’s Board of Directors on August 1, 2003, attached hereto as Exhibit C.

• There are no outstanding Stock Purchase Rights other than Company Stock Options, all of which were granted under the Company Incentive Plan, and Company Series A Warrants.

More Definitions of Company Incentive Plan

Company Incentive Plan means the Company’s 2021 Omnibus Incentive Plan, as amended.

Company Incentive Plan means, collectively, the Company’s current equity incentive plan, as such may be amended from time to time, and any other equity incentive plan adopted by the Company from time to time.

Company Incentive Plan means the GlowUp Digital Inc. Equity Incentive Plan 2021, as adopted on February 12, 2021.
