More Definitions of Common Stock Distribution

Common Stock Distribution means any issuance or sale by the Company of any of its shares of Common Stock, Options or Convertible Securities, including in connection with any dividend, distribution or similar action, other than in connection with a dividend or distribution to holders of its Common Stock of the type described in Section 4(c) below.

Common Stock Distribution means a liquidating distribution or series of liquidating distributions by the Partnership to the Partners of all common stock of the Company held by the Partnership (after satisfaction of or adequate provision for all Partnership liabilities, including payment of Court-awarded fees and expenses to Plaintiffs' Counsel, which liabilities may be satisfied in whole or in part through the sale or transfer of shares of common stock of the Company owned by the Partnership).
