Common Option definition

Common Option means each outstanding stock option or similar rights to purchase shares of Common Stock (excluding Common Warrants).
Common Option means any option (including, other than for purposes of Section 2.4, commitments to grant options) to acquire shares of Company Common Stock, including options granted under the Option Plan. Examples of Common Option in a sentence

  • Unless otherwise consented to by the Board, the aggregate number of Class B Common Shares for which options may be granted under the Common Option Plan cannot exceed 71.28 in any one calendar year.

  • The number of Class B Common Shares authorized for issuance under the Common Option Plan is not to exceed 356.41 shares.

  • Except as otherwise expressly set forth herein, this Agreement, the Shareholders Agreement, the Common Option Agreement, the Preferred Option Agreement and the Registration Rights Agreement embody the complete agreement and understanding among the parties hereto with respect to the subject matter hereof and supersede and preempt any prior understandings, agreements or representations by or among the parties, written or oral, which may have related to the subject matter hereof in any way.

Related to Common Option

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Conversion Option means the Company’s option to convert some or all of the Series D Preferred Stock into that number of shares of Common Stock that are issuable at the then-applicable conversion rate as described in Section 8(c) of these Articles Supplementary.

  • Termination Option means the option of either party to terminate a transaction in the event that the other party fails to perform a Firm obligation to deliver Gas in the case of Seller or to receive Gas in the case of Buyer for a designated number of days during a period as specified on the applicable Transaction Confirmation.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Termination Option Event means an event of a kind defined as such in Section 4.1, 4.2 or 4.8.

  • Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

  • Over-Allotment Option means the option of the Underwriters to purchase up to an additional 15 per cent of the firm units (as described in the Articles) issued in the IPO at a price equal to US$10 per unit, less underwriting discounts and commissions.

  • First Refusal Right means the right granted to the Corporation in accordance with Article E.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Optioned Stock means the Common Stock subject to an Option.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Director Option means an Option granted pursuant to Section 6.

  • Optioned Shares means Shares subject to an Award granted pursuant to this Plan.

  • Conversion Right has the meaning set forth in Section 4.05(a) hereof.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;
